Having consulted with the Lawyer, this seems to be the most approproate transation. It isn't a share and has no voting rights.
Founder's share seemed a bit odd because the company in questin has beenin existence for well over 50 years and has no milestone anniversary coming up, whhc could be an occasion to launch a commemorative issue.

However, another definition I came across is NON-VOTING (but dividend-paying) SHARE. (Cf., French "jouissance").
