ABC and XYZ Holding have launched a joint bid to buy out the minority shareholders in Blank, who still hold a total of 0.26% of the shares in the Polish insurance company. ABC and XYZ Holding also agreed today that, after the buy-out, XYZ Holding will sell its 24.61% stake in Blank to ABC Insurance. These transactions will result in ABC owning 100% of the outstanding shares in Blank and will pave the way for ABC to start the delisting procedure.
The minority shareholders will receive XXX.XX PLN per share. ABC and XYZ Holding have agreed on a price of XXX million PLN for XYZ Holding’s 24.61% interest in Blank.
ABC does not require any additional authorisation from the Polish supervisory authorities to complete the two deals. It expects the buy-out and the deal with XYZ Holding to be completed by the end of March 2006 in accordance with the prevailing Polish legal provisions and the regulations governing the two transactions.
By acquiring full ownership, ABC is reaffirming its long-term commitment to Blank. It will become even more active in the company’s governance and management with a view to supporting the future expansion of Blank and creating group synergies. Together with Blank’s management and staff, ABC aims to consolidate Blank’s market position and results, and to develop it into an even bigger player within the ABC Group.

1 Confidential Information

2 Infringement of patents

Portfolio Performance - Third quarter
The portfolio produced positive returns in absolute terms over the third quarter of 2006, and performed in line with its benchmark. Our asset allocation decision to overweight equities had a positive impact on relative performance, as equities outperformed bonds.
Market selection helped relative performance. In particular, the underweight to the euro-denominated cash portfolio contributed positive relative returns over the quarter.
Security selection was negative for the quarter. Within bonds, the euro government and the euro corporate bond managers outperformed their benchmarks and contributed positive relative returns. However, within equities, the European equity fund managers lagged their benchmark and contributed negative relative returns.
Market Commentary
Global stocks rebounded in the third quarter after suffering their worst setback in over three years during the second quarter. The MSCI All Country World Index gained 5.1% in local currency terms during the third quarter of 2006 (5.6% in euro terms), with Europe taking the lead with a rise of 6.2% (6.7% in euro terms).
Bonds produced positive returns amid decreasing interest rates, although they underperformed stocks. Long-term bond yields fell in Europe by 36 bps, whilst the European short-term bond yields rose slightly. The RRD World Broad Investment Grade (BIG) Index gained 3.0% in local currency terms (3.1% in euro terms).
Market Outlook
If the second quarter was a story of markets worrying about a Fed overshoot, the third quarter was a relief rally sparked by the Federal Reserve’s long awaited “pause” in its campaign of interest rate hikes. Looking ahead, the investment manager believes the two most important questions facing the markets are: one, what impact will the slowdown in the US housing market have on the broader economy; and two, can economies outside the US maintain their recent strength if the US slows?
Regarding the first question, bond markets appear to believe that the US economy will slow significantly. Ten-year Treasury yields fell by 51 basis points during the third quarter, causing the yield curve to invert. Inverted yield curves (at least, ones that stay inverted for a while) have historically been harbingers of recession. If that were to turn out to be the case this time, the culprit would be the weakness in housing. Housing prices have stopped rising, and are now falling in some areas, and the number of houses being sold has dropped meaningfully for the first time since the late 1980s. Bears argue that this has a dual impact: first comes the direct impact of the drop off in construction and related housing activity on GDP; and second comes the secondary impact of a drop in consumer spending, as homeowners can no longer tap into rising home equity values as a source of cash. The investment manager agrees that the direct impact will be negative, but with the unemployment rate under 5%, and with real incomes still rising at a healthy pace, it expects that the economy can avoid a significant drop in consumer spending and achieve a “soft landing.”

W III kw. 2006 r. portfel zapewnił dodatnie stopy zwrotu w ujęciu bezwzględnym a jego wyniki odpowiadały benchmarkowi. Podjęta przez nas decyzja o alokacji aktywów w sposób skutkujący przeważeniem akcji miała pozytywny wpływ na wynik w ujęciu względnym, ponieważ inwestycje w akcje przyniosły wyższe stopy zwrotu niż inwestycje w obligacje.
Właściwy dobór rynków także przyczynił się do korzystnego wyniku w ujęciu względnym. W szczególności niedoważenie portfela instrumentów pieniężnych denominowanych w euro korzystnie odbiło się na dodatnich względnych stopach zwrotu za kwartał.
W III kw. dobór papierów wartościowych okazał się niewłaściwy. W przypadku obligacji, zarządzający portfelami denominowanych w euro obligacji rządowych i obligacji korporacyjnych osiągnęli wyniki lepsze od benchmarku, generując dodatnie względne stopy zwrotu. Natomiast w zakresie inwestycji w akcje zarządzający funduszem europejskich akcji zanotowali wyniki odbiegające in minus od benchmarku, generując ujemne względne stopy zwrotu.
Komentarz rynkowy
Globalne rynki akcji odbiły się w III kw. po zanotowaniu w II kw. najbardziej dotkliwych spadków w ciągu ostatnich ponad trzech lat. Indeks MSCI All Country World Index wyrażony w walucie lokalnej zyskał 5,1% w ciągu III kw. 2006 r. (5,6% w przeliczeniu na euro), a Europa ze stopą wzrostu sięgającą 6,2% (6,7% w przeliczeniu na euro) zdecydowanie przodowała.
Obligacje wygenerowały dodatnie stopy wzrostu przy spadających stopach procentowych, choć zanotowane wyniki odbiegały in minus od rynków akcji. Rentowności obligacji długoterminowych spadły w Europie o 36 punktów bazowych, podczas gdy rentowności obligacji krótkoterminowych nieznacznie wzrosły. Perspektywy dla rynku
Jeżeli w II kw. rynki obawiały się zawyżenia celu inflacyjnego przez Fed, w III kw. obserwowaliśmy, jak rynki odetchnęły z ulgą i zwyżkowały w odpowiedzi na długo oczekiwaną przerwę w kampanii podnoszenia stóp procentowych przez System Rezerwy Federalnej. Wybiegając w przyszłość, wg zarządzającego inwestycją przed rynkami stoją obecnie dwa zasadnicze i niezmiernie istotne pytania: pierwsze, jaki wpływ spowolnienie na amerykańskim rynku nieruchomości będzie mieć na szeroko pojętą gospodarkę; i drugie, czy gospodarki poza Stanami Zjednoczonymi będą w stanie utrzymać dotychczasowe tempo wzrostu w przypadku zastoju na rynku amerykańskim?
Co do odpowiedzi na pierwsze pytanie, rynki obligacje zdają się być przekonane, że gospodarka amerykańska rzeczywiście znacząco zwolni. Rentowności dziesięcioletnich obligacji skarbowych spadły o 51 punktów bazowych w ciągu III kw., powodując odwrócenie krzywej dochodowości. Odwrócone krzywe dochodowości (przynajmniej te, które przez jakiś czas utrzymują swój odwrócony kształt) historycznie zawsze były zwiastunem recesji. Jeżeli teraz też miałyby poprzedzać taki negatywny scenariusz, za głównego winowajcę należałoby uznać słabość rynku nieruchomości. Ceny nieruchomości przestały rosnąć a w niektórych regionach już spadają, przy czym liczba sprzedawanych nieruchomości znacząco obniżyła się po raz pierwszy od lat 80.. Niedźwiedzie twierdzą, że zjawisko to ma dwojaki wpływ: po pierwsze bezpośredni wpływ na PKB spadku aktywności w sektorze budownictwa i działalności gospodarczej związanej z rynkiem nieruchomości; oraz po drugie pośredni wpływ spadku wydatków konsumentów wynikający z faktu, że właściciele nieruchomości nie mogą już wykorzystywać rosnących cen nieruchomości jako źródła dodatkowych środków pieniężnych. Zarządzający inwestycją zgadza się z tezą, że bezpośredni wpływ będzie negatywny, lecz przy stopie bezrobocia poniżej 5% i wciąż rosnących w zdrowym tempie dochodach realnych oczekuje, że gospodarce uda się uniknąć znaczącego spadku wydatków konsumentów, co pozwoli na “miękkie lądowanie”.
