a) The General Assembly of a Public Shareholding Company, a Limited Partnership in Shares, a Limited Liability Company and a Private Shareholding Company shall elect one or more licensed auditors from amongst licensed auditors for one renewable year, and shall determine their remuneration or authorize the Board of Directors to determine such remuneration. The Company shall inform the elected auditor by writing thereof within fourteen days from the date of his election. | Translation - Arabic
تنتخب الهيئة العامة لكل من الشركة المساهمة العامة وشركة التوصية بالاسهم
والشركة المحدودة المسؤولية والشركة المساهمة الخاصة مدققا او اكثر من بين مدققي
الحسابات المرخص لهم بمزاولة المهنة لسنة واحدة قابلة للتجديد وتقرر بدل اتعابهم، او
تفويض مجلس الادارة بتحديد الاتعاب ويتوجب على الشركة تبليغ المدقق المنتخب خطيا
بذلك خلال اربعة عشر يوما من تاريخ انتخابه.

توزع أموال الشركة وموجوداتها المتبقية بعد انتهاء التصفية كما يلي:
أ- يرد إلى الشركاء و المساهمين مقدار حصصهم المدفوعة فعلا في رأسمال الشركة عند التأسيس وإذا كانت أموال الشركة وموجوداتها اقل من رأسمالها المدفوع فترد حسب نسبة مشاركة كل منهم في رأس المال.
ب- إذا زادت أموال الشركة وموجوداتها على رأسمالها فيرد الباقي إلى صندوق دعم البحث العلمي أو إلى أي شركة لا تهدف إلى تحقيق الربح أو إلى مؤسسات عامة أو هيئات أهلية ذات غايات مماثلة بقرار من الوزير بناء على تنسيب المراقب. | Translation - English
Beyond liquidation, the company's funds and assets are allocate as follows:
a. The partners and shareholders are refunded inasmuch as their actual paid allocations in the registered capital. If the company's funds and assets were less than its paid capital, then partners and shareholders are refunded in proportion to their contribution in the company's capital.
b. If the company's funds and assets were more than its capital, then the excess shall be refunded to the scientific research support fund, any other non-profit company, and public institutions or to civil commissions of similar objectives upon the Minister's approval pursuant to the Controller's recommendation. |
