In the UK, the books of a company have to be verified by an indepedent third party, except if that firm has a turnover of less than 5 million ponds
I have been browsing trough the website of Companies House, but I can not find the leaflet, describing what steps, if any have to be taken???

quick google on hmrc +audit exemption brought up this:

http://www.businesslink.gov.uk/bdotg/action/detail?type=RESOURCES&itemId=1073791913

which includes a link to HMRC, and seems generally to provide pointers to what I think you might be looking for
