7. Each Joint Venture shall be bound by any action taken by the Venture Manager in good faith under this agreement. In no event shall any Joint Venturer be called upon to pay any amount beyond the liability arising against him on account of his capital contribution.
8. The Venture Manager shall not be liable for any error in judgment or any mistake of law or fact or any act done in good faith in the exercise of the power and authority as Venture Manager, but shall be liable for gross negligence or wilful default.
9. The relationship between the Joint Venturers shall be limited to the performance of the terms and conditions of this agreement. Nothing herein shall be construed to create a general partnership between the Joint Venturers, or to authorise any Venturer to act as a general agent for another, or to permit any Joint Venture to bind the other except as set forth in this agreement, or to borrow money on behalf of another Joint Venturer, or to use the credit of any Joint Venturer for any purpose.
11. This agreement shall be governed by and interpreted under law of England and Wales. Any claim arising out of or relating to this agreement, or the breach thereof, shall be settled by arbitration in accordance with the Rules of the Chartered Institute of Arbitrators and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. | Translation - Italian
7. In virtù del presente contratto, ciascun Partner sarà vincolato alle decisioni prese in buona fede dal Responsabile della Joint Venture. In nessun caso sarà richiesto ai Partner di versare una somma superiore alla responsabilità derivante loro dalla quota di capitale versata.
8. Il Responsabile della Joint Venture non sarà responsabile per errori di valutazione, o per errori di fatto o di diritto, ovvero per azioni intraprese in buona fede nell’esercizio del potere e dell’autorità conferitigli in qualità di Responsabile della Joint Venture, ma sarà responsabile in caso di colpa grave o inadempimento intenzionale.
9. I rapporti tra i Partner dovranno limitarsi all’osservanza dei termini e delle condizioni del presente contratto. Nulla di quanto stabilito nel presente contratto dovrà essere inteso a creare una società in nome collettivo tra i Partner, o ad autorizzare uno dei Partner ad agire in qualità di agente generale per conto di un altro Partner, o a permettere ad uno dei Partner di vincolare gli altri, fatta eccezione per quanto disposto dal presente contratto, o a contrarre prestiti per conto di un altro Partner, ovvero ad utilizzare il credito di uno dei Partner con qualsivoglia finalità.
11. Il presente contratto sarà disciplinato e interpretato in base alla legislazione inglese e gallese. Qualsiasi controversia insorgente dal presente contratto, o ad esso relativa, ovvero la violazione del medesimo, sarà risolta mediante arbitrato in conformità al Regolamento del Chartered Institute of Arbitrators ("Camera Arbitrale inglese e gallese"), e la sentenza sul lodo resa dall'arbitro (o dagli arbitri) potrà essere depositata presso la cancelleria di qualsiasi tribunale competente per territorio.
13. Il presente contratto costituisce la manifestazione integrale degli accordi raggiunti tra i Partner in merito all’oggetto del contratto e sostituisce qualsiasi contratto, dichiarazione, garanzia e intesa precedentemente e contemporaneamente siglati dalle parti. Nessuna aggiunta, variazione o integrazione apportata al presente contratto sarà considerata vincolante se non prima convalidata in forma scritta da tutte le parti. Nessuna rinuncia ad una qualsiasi delle disposizioni del presente contratto costituirà o sarà considerata come una rinuncia a qualsivoglia altra disposizione, sia essa simile o dissimile, del contratto medesimo, né una qualsiasi rinuncia avrà validità illimitata.
