2. Zagrożenia dla bezstronności i niezależności audytora projektów
Najbardziej pojemną i przejrzystą listę zagrożeń dla niezależności audytora zawiera Kodeks Etyki Zawodowych Księgowych, stąd też może on stanowić punkt odniesienia dla pozostałych kodeksów, standardów i wytycznych.
Zgodnie z tym kodeksem niezależność może być potencjalnie narażona na takie zagrożenia, jak:
a) czerpanie własnych korzyści (pojawia się, gdy firma audytorska lub członek zespołu atestacyjnego mógłby czerpać korzyści z powiązania finansowego ze zleceniodawcą lub występuje konflikt interesów na tle czerpania własnych korzyści),
b) auto-kontrola (pojawia się, gdy: 1. jakiś produkt lub osąd z poprzedniego zlecenia ate-stacyjnego lub nieatestacyjnego musi zostać ponownie oceniony przy formułowaniu wniosków z aktualnie prowadzonego zlecenia atestacyjnego, 2. gdy członek zespołu atestacyjnego był wcześniej członkiem zarządu lub członkiem kierownictwa wyższego szczebla u zleceniodawcy atestacji lub pracował na stanowisku, które umożliwiałoby mu wywieranie znaczącego wpływu na zagadnienia będące przedmiotem zadania atestacyjnego),
c) nadmierne zaangażowanie (pojawia się, gdy firma audytorska lub członek zespołu ate-stacyjnego promuje lub jest postrzegany jako osoba, która promuje stanowisko lub opinię zleceniodawcy atestacji do tego stopnia, że jej/jego obiektywizm może być nadwątlony faktycznie lub być w ten sposób postrzegany),
d) nadmierna ufność, zażyłość (pojawia się, gdy z powodu zbyt bliskich stosunków ze zleceniodawcą atestacji, członkami jego zarządu, kierownictwa wyższego szczebla lub pracownikami, firma audytorska lub członek zespołu atestacyjnego zaczyna sympatyzować z interesami zleceniodawcy),
e) zastraszenie (pojawia się, gdy członkowi zespołu atestacyjnego uniemożliwia się obiektywne i nacechowane zawodowym sceptycyzmem działanie poprzez groźby, faktyczne lub jako takie postrzegane, ze strony członków zarządu, członków kierownictwa wyższego szczebla lub pracowników zleceniodawcy atestacji) [7, s. 53 - 55].
Wytyczne instytucji zarządzających dotyczące audytu zewnętrznego wymieniają tylko kilka przykładów sytuacji będących zagrożeniem dla bezstronności i niezależności audytora, które można przyporządkować do podpunktu a), b) i d) powyższej listy. Oznacza to, że Kodeks Etyki Zawodowych Księgowych jest bardziej dokładny niż te wytyczne. Na przykład wytyczne wskazują, że niezależność audytora nie jest zachowana, gdy audytor:
• posiada udziały, akcje lub inne tytuły własności w jednostce pełniącej rolę beneficjenta lub w jednostce z nią stowarzyszonej, dominującej, zależnej lub współzależnej,
• osiągnął chociażby w jednym roku w ciągu ostatnich 5 lat co najmniej 50 % przychodu rocznego z tytułu świadczenia usług na rzecz danej jednostki, jednostki wobec niej dominującej lub jednostek z nią stowarzyszonych, jednostek od niej zależnych lub współzależnych. Nie dotyczy to pierwszego roku działalności podmiotu przeprowadzającego audyt [15].
Są to wybrane z listy wszystkie sytuacje, które stanowią zagrożenie dla niezależności audytora poprzez możliwość czerpania własnych korzyści. Jednakże wytyczne nie wspominają o innych tego typu sytuacjach takich jak:
• audytor wziął pożyczkę lub dostał gwarancję od zleceniodawcy audytu lub któregoś z członków zarządu lub członków kierownictwa wyższego szczebla zleceniodawcy,
• audytor obawia się możliwości utraty danego zlecenia [7, s. 53].
Standardy kontroli INTOSAI wskazują na potrzebę niezależności organizacyjnej Najwyższej Izby Kontroli oraz wymieniają tylko trzy przykłady sytuacji, których kontrolerzy powinni unikać, a które wiążą się z zagrożeniem auto-kontroli i nadmiernej zażyłości [11, s. 30]. Za to obszernie i wyczerpująco zostały omówione zagrożenia dla niezależności audytora w Kodeksie Etyki INTOSAI, które niemalże pokrywają się z tymi z Kodeksu Etyki Zawodowych Księgowych. W Kodeksie Etyki INTOSAI stwierdza się, że:
1. audytorzy mają obowiązek powstrzymywać się od angażowania się w te wszystkie sprawy w których mogą osiągnąć własne korzyści ze względu na zainwestowany kapitał,
2. audytorzy nie powinni wykorzystywać swojego oficjalnego stanowiska do celów prywatnych i powinni unikać znajomości, które wiążą się z ryzykiem korupcji lub które mogą wzbudzić podejrzenia co do ich obiektywizmu i niezależności,
3. audytorzy powinni unikać dodatkowych usług, które wiążą się z odpowiedzialnością lub uprawnieniami zarządczymi, należącymi ściśle do kompetencji zarządu jednostki kontrolowanej,
4. audytorzy powinni być niezależni od wpływów politycznych,
5. audytorzy powinni się wystrzegać każdego możliwego konfliktu interesów, na przykład odmawiając przyjęcia prezentów lub napiwków,
6. audytorzy powinni unikać wszelkich relacji z kadrą kierowniczą i pracownikami jednostki kontrolowanej oraz z innymi podmiotami, które mogą wpłynąć na zdolność audytorów do działania w sposób niezależny, zmuszać ich do kompromisu lub zagrażać ich niezależności lub być tak postrzegane przez innych [2, s. 13-15].
Ponadto Kodeks Etyki INTOSAI wskazuje, że we wszystkich sprawach związanych z wykonywaniem audytu, niezależność audytorów nie powinna być zmniejszana ze względu na interes osobisty lub interes innych osób. Do takich sytuacji zalicza się m.in.:
• finansowe powiązania, które mogą spowodować konflikt lojalności lub konflikt interesów,
• niedawno rozwiązany stosunek pracy z jednostką kontrolowaną,
• uprzedzenia audytorów do indywidualnych osób, jednostek kontrolowanych, projektów lub programów,
• osobiste powiązania, które mogą spowodować konflikt lojalności lub konflikt interesów,
• wpływ lub presję zewnętrzną wywieraną na audytorów [2, s. 13-15].
W Kodeksie Etyki INTOSAI wprost nie wymienia się tylko zagrożenia nadmiernego zaangażowania. Za to dodatkowo przestrzega się przed uleganiem wpływom politycznym.
Opracowane przez Stowarzyszenie Audytorów Wewnętrznych - MSPPAW oraz Kodeks Etyki nie zawierają listy zagrożeń dla niezależności audytora. Standardy te przestrzegają jedynie ogólnie przed kierowaniem się własnym interesem oraz uleganiem wpływom innych oraz przed zagrożeniem auto-kontroli.
Audytorzy wewnętrzni powinni powstrzymać się od oceny działalności operacyjnej, za która byli uprzednio odpowiedzialni. Ograniczenie obiektywizmu następuje, jeżeli audytor wewnętrzny bada obszar działań, za który był odpowiedzialny w ciągu roku poprzedzającego [6, s. 7].
Zadania zapewniające dotyczące działań, za które odpowiada zarządzający audytem wewnętrznym, powinny podlegać nadzorowi jednostki spoza audytu wewnętrznego [6, s. 7].
Stąd też wytyczne instytucji zarządzających programami operacyjnymi wymagają, aby audytor zewnętrzny nie pracował dla instytucji wdrażającej, instytucji pośredniczącej oraz instytucji zarządzającej.
Jeśli sięgniemy po poradnik dla audytorów wewnętrznych to dowiemy się, że naruszenie niezależności lub obiektywizmu może mieć miejsce ponadto, gdy audytor:
• projektuje cały system, wdraża system, opracowuje procedury operacyjne lub realizuje operacje w ramach systemu,
• przyjmuje zapłatę lub prezent od pracownika, kontrahenta, klienta, dostawcy lub kolegi z pracy [10].
Zapisy te wskazują na specyfikę zawodu audytora wewnętrznego, która polega na świadczeniu usług zapewniających i doradczych dla jednego podmiotu w którym dany audytor jest zatrudniony. W tym przypadku odpowiednie zapisy w wytycznych wydają się mieć kluczowe znaczenie dla zapewnienia społeczeństwa o niezależności audytora wewnętrznego, który wykonuje audyt zewnętrzny zgodnie z MSPPAW i Kodeksem Etyki IIA, od beneficjenta i innych instytucji w systemie zarządzania funduszami strukturalnymi. | Translation - English
2. Threats to fairness and independence of project auditors
The most sizable and clearest list of threats to auditor independence is included in the Code of Ethics for Professional Accountants, and the benchmark for remaining codes, standards and guidelines can also be determined from this.
According to the code, independence can potentially be subject to threats such as:
a) self-interest (when the auditing company or member of the assurance team is able to gain advantages from financial connection with the ordering party or there is a conflict of interest related to self-interest),
b) self-review (when: 1. some product or judgment from a previous certification or non-certification order must again be evaluated in formulating conclusions from the present certification order, 2. when a member of the assurance team was previously a member of the board or member of senior management at the ordering party or held a position which could enable him to exert significant influence on issues concerning the assurance assignment),
c) advocacy (when the auditing company or member of the assurance team promotes or is perceived as promoting the position or opinion of the ordering party to an extent to which his/her objectivity could be impaired or perceived to be so),
d) familiarity (due to close relationship with the ordering party, members of management, senior management or employees, the auditing company or member of the assurance team begins to sympathize with the interests of the ordering party),
e) intimidation (when a member of the assurance team prevents objectivity and professional scepticism through threats, factual or perceived, on the part of members of the board, members of senior management or employees of the ordering party)[7, pg. 53 - 55].
The guidelines of the Managing Authority concerning external audit only mention several examples of threats to auditor impartiality and independence which can be included under subpoints a), b) and d) of the list above. This means that the Code of Ethics for Professional Accountants is more precise than these guidelines. For example, the guidelines indicate that auditor independence is not maintained when the auditor:
• has shares, stocks or other titles of ownership in the beneficiary entity or associate, prevailing, dependent or interdependent entity,
• gained even in one year during the last 5 years at least 50% annual revenue in virtue of performance of services in the interest of the given entity, prevailing entity, associate entity, dependent or interdependent entity. This does not apply to the first year of the subject’s activities in conducting audits [15].
These are chosen from the list of all situations which constitute a threat to auditor independence through self-interest. However, the guidelines do not mention other types of situations such as:
• borrowed money or guarantees received by the auditor from the ordering party, members of the board or members of senior management of the ordering party,
• fear of losing an order by the auditor [7, pg. 53].
The INTOSAI Auditing Standards indicate the necessity of organizational independence of the Supreme Chamber of Control and mention only three examples of situations which auditors should avoid, and which are related to the threat of self-review and familiarity [11, pg. 30]. For extensive and exhaustive discussions of threats to auditor independence, see the INTOSAI Code of Ethics which more or less cover those of the Code of Ethics for Professional Accountants. The INTOSAI Code of Ethics states that:
1. auditors are required to abstain from involvement in all matters in which they could gain an advantage for their vested interests,
2. auditors should not use their official position for private aims and should avoid acquaintances which could involve the risk of corruption or which could arouse suspicions regarding their impartiality and independence,
3. auditors should avoid additional services related to management responsibilities or authorizations closely related to the management authority of the entity being audited,
4. auditors should not be under any political influence,
5. auditors should beware every possible conflict of interest and, for example, refuse gifts or tips,
6. auditors should avoid all relations with supervisory personnel or employees of the entity being audited and other subjects which could influence their ability to act independently, force them to compromise or threaten their independence or the perception of independence [2, pg. 13-15].
Besides this, the INTOSAI Code of Ethics states that in all matters connected with conducting audits, auditor independence should not be reduced for personal interests or the interests of other persons. These situations include:
• financial connections which could result in a conflict of loyalty or conflict of interest,
• recent, undissolved work relations with entity being audited,
• auditor bias towards individual persons, entities being audited, projects or programs,
• personal relationships which could result in a conflict of loyalty or conflict of interest,
• influence or external pressure exerted on auditors [2, pg. 13-15].
The INTOSAI Code of Ethics does not make direct mention only of the threat of advocacy, also including political influence.
The MSPPAW and the Code of Ethics, formulated by the Institute of Internal Auditors, do not include lists of threats to auditor independence. These standards apply only generally to self-interest and other influences and the threat of self-review
Internal auditors should abstain from evaluations of operating activities for which they were previously responsible. Objectivity is limited if the internal auditor examines an area of activities for which he/she was responsible in the previous year [6, pg. 7].
Assurance assignments concerning activities related to conducting internal audits, should be subject to supervision of the entity over the internal audit [6, pg. 7].
Guidelines of the Managing Authority operating programs also require that external auditors not work for the implementing institution, intermediary institution or the Managing Authority.
According to the hand-book for internal auditors, breach of independence or objectivity also takes place when the auditor:
• designs and initiates the whole system, formulates the operating procedures or completes operations within the system,
• accepts gifts or money from an employee, contractor, client, supplier or fellow employee.
These records indicate the specifics of the profession of internal auditor who performs assurance and consulting services for one subject in which the given auditor is employed. In this instance, corresponding records in the guidelines seem to have key significance for ensuring society about internal auditor independence for auditors who perform external audits in compliance with MSPPAW and the IIA Code of Ethics, from the beneficiary and other institutions in the management system with structural funds. | | German to English: Verpackungsrichtlinien | Source text - German
