DARLEHENSVERTRAG

DARLEHENSNEHMER: YY
Der Darlehensnehmer erhält vom Darlehensgeber ein Darlehen zu folgenden Bedingungen :
Darlehenshöhe
Zinssatz
Verwendungszweck Zur Vermeidung von Liquiditätsengpässen bzw. Fremdkapitaleinsatz
1.) Verzinsung
Eine Anpassung des Zinssatzes an veränderte Marktsituationen sind jederzeit möglich. Dies bedarf jedoch eines Gesellschafterbeschlusses des Darlehennehmers. Der Zinssatz darf nicht höher sein als marktüblich.
2.) Zinsberechnung
Die Zinsberechnung erfolgt halbjährlich.
Die Zinsen werden auf das Konto des Darlehensgebers überwiesen.
Die Überweisungskosten übernimmt der Darlehensnehmer.
Die Zinsberechnung beginnt ab dem 01.01.05. Bis zu diesem Zeitpunkt wird das Darlehen zinslos gewährt.
3.) Tilgung
Darlehensbeträge, die längerfristig nicht benötigt werden, können jederzeit, gemäß eines zu vereinbarenden Gesellschafterbeschlusses, getilgt werden.
4.) Kündigung
Die Gesellschafterversammlung des Darlehennehmers kann jederzeit eine Kündigung des Darlehensvertrages, mit einer Frist von einem Monat, beschließen.
Eine Kündigung von seiten des Darlehengebers kann mit gleicher Frist erfolgen.
5.) Sicherheiten
· Maschinen, Anlagen, Betriebs- und Geschäftsausstattung
· Abtretung von Zahlungsansprüchen des Darlehennehmers an Kunden, bis zur völligen Resttilgung des Darlehens.
Zur Beachtung: Die gestellten Sicherheiten verteilen sich gleichmäßig, entsprechend den Darlehensanteilen der Gesellschafter.
6.) Kosten des Vertrages
Alle durch den Abschluß und Vollzug dieses Vertrages, einschließlich der Sicherheits-bestellungen entstehenden Kosten, trägt der Darlehensnehmer.
7.) Vertragsbeginn
Vertragsbeginn ist der Tag des Geldeingangs auf dem Konto des Darlehennehmers.

I tassi di interesse dovranno essere versati sul conto corrente del prestatore.
Le spese per il bonifico vanno a carico del prenditore.
Il calcolo degli interessi decorrerà a partire dal 1 gennaio 2005.
Fino alla data suddetta il prestito sarà accordato senza
interessi.
3.)Ammortamento
Importi di prestiti non usati a lungo termine possono essere ammortizzati in qualsiasi momento a seguito di una delibera assemblare corrispondente da concordare.
4.)Rescissione
La assemblea dei soci del prenditore può deliberare in qualsiasi momento una rescissione del contratto di prestito con un preavviso di un mese.
Il prestatore dal canto suo può rescindere il presente contratto rispettando lo stesso termine di preavviso.
5.)Garanzie
· Macchinari, impianti, macchinari e mobili
· Cessione di diritti al pagamento da parte del prenditore nei confronti di clienti fino al completo ammortamento del prestito
Nota bene: le garanzie messe a disposizione sono da distribuire equamente, a seconda delle quote di prestito dei soci.
6.)Costi contrattuali
Tutti i costi legati alla stipula nonché all’esecuzione del presente contratto, inclusa la costituzione di garanzia, vanno a carico del prenditore.
7.) Inizio del contratto
Il contratto entra in vigore il giorno in cui il bonifico viene accreditato sul conto corrente del prenditore.
