Price Quotation and Purchase Agreement

The parties intending to be legally bound agree to the following terms and conditions constituting this Price Quotation and Purchase Agreement (“Agreement”). In the event of a conflict between any provision of the “click-wrap” license or SLA (as defined below) as applicable, or any prior amendment or addendum, and any provision of this Agreement, the provision of this Agreement shall prevail. In the event of discrepancy between the English and the Korean Version, the English version shall prevail. Products and Services purchased under this Agreement are attached hereto as Exhibit A.
1. TERMS APPLICABLE TO A PURCHASE OF TERM SOFTWARE LICENSES
1.1 Delivery for MicroStrategy Products purchased on this Agreement is via electronic download at
https://download.microstrategy.com.
1.2 Delivery for MicroStrategy Products purchased on this Agreement is by the shipment of a CD to the person listed in the Ship To box listed on Exhibit A; FCA (MicroStrategy point of shipment).
1.3 During the Term of this Agreement and subject to payment of fees, MicroStrategy grants Licensee a license to use the Products listed on Exhibit A, solely for Licensee’s Internal Business Use by Named Users in the Territory and receive Technical Support Services for those Products according to the terms and conditions of a Software License Agreement or a comparable software licensing agreement with MicroStrategy executed previously. In the absence of such an agreement, then the license shall be governed by a “click-wrap” license, viewable on the CD/ROM or the FTP site containing the Products. The terms of the applicable licensing agreement (SLA) are incorporated in this Agreement by reference as if set forth fully herein.
1.4 Under Bronze Technical Support Services, Licensee is entitled to two (2) technical contacts for Licensee and its affiliates to report issues and receive support. Within 12 months after execution of this Agreement, Licensee agrees that each of its technical contacts will attend training for administration and development of MicroStrategy Products. Licensee must notify MicroStrategy in writing if it wishes to change the contact person(s). Licensee designates the following as its technical contacts. This designation supersedes and replaces prior designations. If no one is listed, prior designations by Licensee will continue.

1.5 Licensee grants MicroStrategy the right to use Licensee’s name and logo as a MicroStrategy customer. With the prior written consent of Licensee, Licensee grants MicroStrategy the right to issue a press release within 30 days after execution of this Agreement announcing that Licensee has selected MicroStrategy as its business intelligence software platform.
1.6 If Licensee deploys the Products as part of an extranet application, Licensee agrees to display “Powered by MicroStrategy” or certain other similar MicroStrategy trademarks designated by MicroStrategy.
1.7 Licensee acknowledges that installation of the Products involves a CD key that restricts use of the Products to: (i) equipment with only the number and clock speed of CPUs licensed; and (ii) the number of Named Users licensed, as applicable. Licensee further acknowledges that the Products require activation on initial installation of the Products and from time to time based on events that include maintenance Updates and changes to Licensee hardware on which the Products are installed. Failure to activate the Products within 30 days after installation will cause the Products to cease working.
1.8 Licensee agrees that the Software and its technical Documentation contain MicroStrategy confidential information. Licensee agrees not to disclose any MicroStrategy confidential information or the results of any benchmark tests of the Software to any third party.
1.9 “Term” shall mean twelve (12) months from the date of delivery of the Products. Upon expiration of the Term, Licensee’s rights to use the Products and Updates and to receive Technical Support Services shall terminate.
2. TERMS APPLICABLE TO A PURCHASE OF PERPETUAL SOFTWARE LICENSES
2.1 Delivery for MicroStrategy Products purchased on this Agreement is via electronic download at https://download.microstrategy.com.
2.2 Delivery for MicroStrategy Products purchased on this Agreement is by the shipment of a CD to the person listed in the Ship To box listed on Exhibit A; FCA (MicroStrategy point of shipment).
2.3 Subject to payment of fees, MicroStrategy grants Licensee a license to use the Software and Documentation listed on Exhibit A, solely for Licensee’s Internal Business Use by Named Users in the Territory according to the terms and conditions of a Software License Agreement or a comparable software licensing agreement with MicroStrategy executed previously. In the absence of such an agreement, then the license shall be governed by a “click-wrap” license, viewable on the CD/ROM or the FTP site containing the Products. 8. TERMS APPLICABLE TO A PURCHASE OF HEALTH CHECK SERVICES
8.1 In consideration of the fees listed on Exhibit A MicroStrategy shall provide Health Check Services for a period of one year. Health Check Services will commence on the date of the invoice. Upon expiration of the then current term, Health Check Services shall automatically renew for subsequent one-year periods unless Licensee provides written notice to MicroStrategy ninety (90) days before expiration of the then current term that it desires to have its Health Check Services lapse. Licensee will be billed annually for the subsequent renewals.
8.2 To initiate Health Check Services, MicroStrategy will assign a Health Check Advisor to Licensee. The Health Check Advisor will promptly attempt to contact Licensee to gather information and conduct a needs analysis that will serve as basis for drafting a custom Health Check Plan. Licensee agrees to provide MicroStrategy with reasonable access to individuals and information required to conduct a needs analysis. If given such access, a Health Check Plan designed to enhance the performance of MicroStrategy Products in Licensee’s business intelligence computing environment can be delivered within thirty (30) day after commencing Health Check Services.
8.3 Licensee agrees to provide MicroStrategy with access to and use of suitable workspace within Licensee’s facility (including at a minimum, network access, telephone, desk) for MicroStrategy to deliver Health Check Services. Licensee further agrees to provide MicroStrategy with reasonable access to individuals and information required to deliver all aspects of Health Check Services.
8.4 The draft Health Check Plan will be prepared after consultations with Licensee and will include recommendations involving one or more of the following areas: Licensee’s BI Architecture, Licensee’s Hardware and Software Configuration; BI System Tuning and Troubleshooting and other areas identified during the initial consultation.
8.5 For each of the recommended tasks, the Health Check Advisor will provide a description of the task, recommended frequency of task, MicroStrategy technical resources required and a proposed project schedule. MicroStrategy technical resources may include MicroStrategy product specialists, RDBMS BI tuning specialists, BI specialists in Licensee’s vertical market, BI domain experts, QE engineers and other MicroStrategy engineers as required.
8.6 After reviewing the Plan with Licensee, the Health Check Advisor will finalize the Health Check Plan and Schedule.
8.7 On a quarterly basis, the Health Check Advisor will provide Licensee with an updated Health Check Plan and Report Card that will contain a listing of services delivered during the prior quarter including, task description, specialized technical resource utilized, and hours of services delivered as well as the proposed activities for the following quarter.
8.8 Health Check Services entitles Licensee to fifty (50) hours of advice and consulting. MicroStrategy will deliver Health Check Services equally over the next four three month periods. Licensee may not carry over or accelerate hours from one quarter to another.
8.9 In the event Licensee desires to receive additional Health Check Services not specified in the Health Check Plan in any quarter, MicroStrategy will provide business intelligence consultants under this Agreement. Such services will be provided during the initial term of this Agreement at the standard published rates:
8.10 Licensee agrees to take up to three reference calls per year regarding MicroStrategy Health Check Services. A reference call may consist of a site visit or a phone call from a qualified potential customer or analyst. Licensee grants MicroStrategy the right to use Licensee’s name and logo as a MicroStrategy Health Check Services customer on the MicroStrategy website, in corporate presentations, in email communication with MicroStrategy prospects and during discussions with financial and industry analysts. MicroStrategy will obtain prior consent from Licensee for use of Licensee's name and logo for purposes other than those identified above.
8.11 Licensee shall reimburse MicroStrategy for reasonable travel and out-of-pocket expenses incurred in connection with the provision of the services. Such expenses shall be invoiced in Licensee’s local currency based on the conversion rate published in the Wall Street Journal on the date MicroStrategy issues the invoice. Invoices shall be issued periodically and shall be due within thirty (30) days.
8.12 While delivering Health Check Services, MicroStrategy may create specialized work products and use certain pre-existing software, documentation and generic tools (“Health Check Works”). MicroStrategy or its suppliers retain all rights, title and interest to such Health Check Works and any additional generic tools created while delivering the Health Check Services. Subject to payment of fees for Health Check Services, MicroStrategy grants Licensee a non-exclusive, non-transferable, royalty free license to the Health Check Works solely to support Licensee’s use of MicroStrategy Software. Licensee shall not sublicense, reverse engineer, decompile or disassemble any Health Check Works.
8.13 MicroStrategy shall treat all information received from Licensee while performing Health Check Services as confidential. However, Licensee acknowledges that in comparing best industry practices MicroStrategy uses information gained in all of its engagements. In no instance will MicroStrategy attribute any Confidential Information received as part of this engagement to Licensee. MicroStrategy shall not disclose Licensee’s proprietary customer lists, financial information or business plans. Upon expiration, MicroStrategy will, at Licensee’s request, return copies of any Confidential Information received.
8.14 Health Check Services under this Agreement are separate from other consulting services offered by MicroStrategy, which may be purchased through a separate Professional Services Agreement.
8.15 During the term of the Health Check Services subscription and for one (1) year afterward, Licensee shall not hire MicroStrategy employees or subcontractors involved in the performance of the Health Check Services.
11. TERMS APPLICABLE TO ALL PURCHASES
11.1 Upon execution by both parties, this Agreement shall be a non-cancelable, non-refundable order by Licensee.
11.2 For Products and Services other than System Integration Consulting purchased on a time and materials basis, Licensee will be invoiced upon execution of this Agreement. Payment is due according to the terms of the SLA. In the absence any such terms, payment is due in full, thirty (30) days from the date of invoice. Any dispute Licensee may have to an invoice must be brought within thirty (30) days of the date of the invoice, otherwise the invoice shall be deemed correct.
11.3 Prices do not include taxes, including but not limited to VAT. Licensee shall be responsible for paying any applicable taxes, except taxes on MicroStrategy income.
11.4 In the event that Licensee defaults on any of its obligations or breaches any material provision of any agreement entered into with MicroStrategy, MicroStrategy shall have the right to discontinue providing Technical Support Services until such time that the breach has been satisfactorily cured.
11.5 The laws of Seoul, Korea excluding its conflicts of laws, shall govern this Agreement, and all matters arising out of or relating to this Agreement. The UN Convention for the International Sale of Goods shall not apply to this Agreement in whole or in part.
11.6 MicroStrategy and Licensee submit to the exclusive jurisdiction of, and agree that venue is only proper in the courts of Seoul, Korea in any legal action or proceeding relating to this Agreement. Notwithstanding the foregoing, MicroStrategy and its parent company MicroStrategy Incorporated shall be entitled to seek injunctive relief and other redress in any court in relation to an unauthorized disclosure of confidential information or infringement of their intellectual property rights in the Products.
11.7 Licensee agrees to comply fully with all relevant export laws and regulations of the United States and the Territory (“Export Laws”) to assure that neither the Products nor any direct product thereof is exported, directly or indirectly, in violation of Export Laws; or is intended to be used for any purposes prohibited by the Export Laws, including, without limitation, nuclear, chemical or biological weapons proliferation. Licensee shall indemnify and hold MicroStrategy and its suppliers harmless in connection with any breach of this provision of this Agreement.
11.8 MicroStrategy stipulates and Licensee agrees that in discharging this Agreement it shall export certain personal data outside the Territory to the United States, the processing and export of such personal data shall be carried out in compliance with the applicable law relating to data protection. Licensee has the right to consult, amend, cancel or oppose processing and/or export of Licensee’s personal data.
11.9 Any Licensee terms of trade stated or referenced in the Licensee purchase order, or any terms to which MicroStrategy has not specifically agreed in writing (except for names, quantities and addresses), shall not be binding on MicroStrategy. All Licensee purchase orders shall be governed by the terms of this Agreement. Licensee’s purchase order number to be used for invoice processing is _________________________.
Licensee agrees that failure to provide a purchase order number herein shall have no impact on its obligation to remit payment.
11.10 This Agreement may be executed in two counterparts, each of which when so executed shall be deemed to be an original and both of which when taken together shall constitute one and the same Agreement. Fax or electronically scanned copies of such signed documents may be used in lieu of the originals for any purpose.
11.11 Unless otherwise defined in this Agreement, capitalized terms in this Agreement shall have the same meaning as ascribed at http://www.microstrategy.com/licensing/ on the Effective Date of the Agreement.
11.12 In the event of a conflict between any provision of the SLA, or any prior amendment or addendum, information located at referenced URLs and any provision of this Agreement, the provision of this Agreement shall prevail.
11.13 This Agreement including references to a SLA, if any, and information located at referenced URLs constitute the complete agreement between the parties and supersede all prior agreements, estimates, presentations, purchase orders, and representations, whether written or oral, concerning the subject matter of this Agreement. This Agreement may not be modified or amended except in a writing signed by a duly authorized representative of each party; no other act, document, usage or custom shall be deemed to amend or modify this Agreement.

8. 시스템 검진 서비스에 적용 되는 용어:
8.1 별첨 A 에 기재된 요금대로 MicroStrategy사는1년간 시스템 검진 서비스를 제공한다. 시스템 검진 서비스는 송장 날짜부터 시작된다. 시스템 검진 서비스는 해당 기간 만료 90일 전 사용권 자가 시스템 검진 서비스를 해지하기 원한다는 서면 통고를 MicroStrategy 사에 하지 않으면 자동적으로 다음 1년 기간에 갱신된다. 사용권 자는 추후 갱신에 대해 연별로 청구 받는다.
8.2 시스템 검진 서비스를 시작하기 위해, MicroStrategy사는 사용권 자에게 시스템 검진 자문 1명을 임명한다. 시스템 검진 자문은 사용권 자를 즉시 접촉하여 사용권 자의 정보를 수집하고 맞춤형 시스템 검진 서비스 초안 작성의 기초가 되는 수요분석을 실행한다. 사용권 자는 MicroStrategy 사에 수요분석 실행에 필요한 개인과 정보에 합당하게 접근하는 것을 허용하는데 동의한다. 이런 접근이 허용되면, 사용권 자의 비즈니스 정보 컴퓨터 환경에서 MicroStrategy제품의 성능을 향상시키기 위한 시스템 검진 플랜이 시스템 검진 서비스가 시작된 후 30일 이내에 인도된다.
8.3 사용권 자는 MicroStrategy사에게 사용권 자의 시설 내에 적합한 작업 공간(최소한 네트웍 접속, 전화, 책상 등을 포함한)에 접근과 사용을 가능하게 하는데 동의하여 MicroStrategy사가 시스템 검진 서비스를 제공하게 한다. 사용권 자는 나아가 MicroStrategy 사에게 시스템 검진 서비스의 모든 측면을 제공하는데 필요한 개인과 정보에 대한 합당한 접근을 가능하게 하는데 동의한다

8.8 시스템 검진 서비스는 사용권 자에게 50시간의 조언과 상담 자격을 부여한다. MicroStrategy사는 3개월씩 다음 4회에 걸쳐 똑같이 시스템 검진 서비스를 제공한다. 사용권 자는 한 4분기에서 다른 4분기로 사간을 넘기거나 단축(가속) 할 수 없다.

8.11 사용권 자는 서비스 제공에 관련하여 발생한 합당한 여행 및 현찰 경비에 대해 MicroStrategy사에 상환해야 한다. 이 경비들은 MicroStrategy 사의 송장 발행 날짜에 월 스트리트 저널에 공표된 환율을 기준으로 사용권 자의 화폐 단위로 송장에 기재된다. 송장은MicroStrategy사가 정기적으로 발행하며 30일 이내 만기이다.

8.13 MicroStrategy 사는 시스템 검진 서비스를 실시하며 사용권 자로부터 받은 모든 정보를 기밀로 취급한다. 하지만 사용권 자는 최고 수준의 기업 관행에 견주어 MicroStrategy 사가 모든 업무에서 입수한 정보를 사용한다는 점을 인정해야 한다. 어떤 경우에도MicroStrategy 사는 이 업무의 일부로 입수한 어떤 기밀 정보도 사용권 자에게 전가하지 않는다. MicroStrategy 사는 사용권 자의 사유 고객 명단, 금융 정보 혹은 사업 계획을 공개하지 않는다. 계약 만료시, MicroStrategy사는 사용권 자의 요청에 따라 받은 기밀 정보의 복사본을 반환할 것이다.
8.14 이 계약 하에서 시스템 검진 서비스는 별도의 전문 서비스 계약을 통해 구입할 수 있는 MicroStrategy사가 제공하는 다른 컨설팅 서비스와는 별개이다.
8.15 시스템 검진 서비스 가입 기간 중 및 향후 1년 동안, 사용권 자는 MicroStrategy사 혹은 하청 업체에서 시스템 검진 서비스 수행에 관여한 직원을 고용하지 못 한다.
11. 모든 구입에 적용되는 용어:
11.1 양 당사자가 실행 함으로서, 이 계약은 사용권 자에 의한 취소 불가, 환불 불가 주문이 된다.
11.2 시간과 자재 기준으로 구입한 시스템 통합 컨설팅 이외 제품과 서비스에 대하여, 이 계약이 실행되면 사용권 자에게 송장이 발행될 것이다. 서비스수준규약(SLA)의 조항에 따라 지급 만기가 정해진다. 그와 같은 조항이 없을 경우, 송장 날짜로부터 30일 이내에 전액을 지급한다. 사용권 자의 송장에 대한 이의는 송장 날짜로부터 30일 이내에 제시되어야 하며 그렇지 않을 경우 송장은 정확한 것으로 간주된다.
11.3 가격은 세금을 포함하지 않는다. 여기서 세금은 부가가치세 (VAT)를 포함하나 부가가치세에만 국한되지 않는다. 사용권 자는MicroStrategy사의 소득세를 제외한 적용되는 어떤 세금에 대해서도 의무가 있다.
11.4 사용권 자가 어떤 채무를 불이행하거나 MicroStrategy사와 체결한 계약 중 어떤 물질적 규정을 위반하는 경우, MicroStrategy사는 위반 사항이 만족하게 해결되는 시점까지 기술 지원 서비스를 중단할 수 있는 권리가 있다.
11.5 국제 사법을 제외하고 대한민국 서울의 법이 이 계약과, 이 계약으로부터 기인하거나 이 계약에 관계된 제반 사항을 지배한다. 국제물품매매에 관한 UN 협약은 이 계약의 일부 혹은 전체로 적용되지 않을 것이다.
11.6 이 계약에 관련된 법적 소송이나 소송 절차에서 MicroStrategy사와 사용권 자는 대한민국 서울의 배타적 관할권을 따르며 재판지로는 대한민국 서울의 법정 만이 적합하다는데 동의한다. 앞의 내용에도 불구하고 MicroStrategy사와 그 모기업인 MicroStrategy Incoporated는 허가 받지 않은 기밀 정보 누설과 제품에 대한 지적재산권 침해에 관련하여 어느 법정에서도 법적 구제책(금지적 구제)이나 다른 배상을 구할 수 있는 자격이 있다.
11.7 사용권 자는 미합중국과 영토의 모든 관련된 수출법과 법규(“수출법”)를 전적으로 따르는데 동의하며 제품이나 그것의 직접적인 산물이, 직접적으로 또는 간접적으로, 수출법을 위반하여 수출되지 않는 다는 것; 또는 방사능, 화학 또는 생물학적 무기 증식을 포함하는 수출법에 의해 금지된 어떤 목적에 사용되지 않는다는 것을 확실히 한다. 사용권 자는 이 계약의 이 규정에 대한 위반에 관련하여 MicroStrategy사와 공급자들에게 보상하며 해가 없도록 하여야 한다.
11.8 이 계약이 소멸하는 경우 사용권 자는 특정 개인 신상 데이터를 해당 지역 밖에서 미합중국으로 유출하게 됨을 MicroStrategy사는 명시하고 사용권 자는 동의한다. 그와 같은 개인 신상 데이터의 처리와 유출은 데이터 보호와 관련 적용되는 법을 준수하여 이행될 것이다. 사용권 자는 사용권 자의 개인 신상 데이터의 처리 및 유출 혹은 처리나 유출을 상담, 정정, 취소 또는 반대할 권리가 있다.
