The styling elements of the 2010 Insight are uniquely Honda in every way and actually have their roots in Honda thinking dating back 20-plus years to the second generation CRX. The tear-drop profile of the beloved coupe returned 10 years later, when it was applied to the original Insight in 1999, and more recently to the ground-breaking FCX Clarity fuel cell vehicle.

The Insight Goes Mainstream
Let's address the elephant in the room first, shall we? Many who have seen early photographs of the 2010 Honda Insight Hybrid have dismissed it as nothing more than a carbon copy of a Toyota Prius.
These people would be wrong.
What "these people" are forgetting is what was said about the current Toyota Prius when it first debuted in the fall of 2003. "It looks like a four-door Honda CRX," they whined.
Honda Copied...Honda
Much of this finger-pointing stems from the nearly horizontal rear glass of the 2010 Honda Insight with its vertical, peekaboo rear window for enhanced rearward visibility.
The vertical glass panel allows the Insight to fully exploit the widely recognized aerodynamic principles of Wunibald Kamm, who discovered that if one abruptly chopped the tail end off a teardrop, the most streamlined of shapes, most of the low-drag goodness would remain. A Kamm back, they call it.
Yes, the Toyota Prius has this very arrangement. But so did the 2000-'06 Honda Insight and the 1988-'91 Honda CRX before it. That the 2010 Insight looks this way is no accident, because Yasunari Seki, chief engineer for the 2010 Honda Insight, made his name at Honda while working on the CRX HF.
And that's just what the 2010 Honda Insight is, more or less: a hybrid version of the late Honda CRX HF, but with four doors, room for five passengers, up-to-date safety features and modern conveniences.
With respect to the 2010 Honda Insight, Honda is guilty of copying no one but itself.
The Honda Hybrid Approach
The trouble with hybrids is that they don't seem to pencil out. We've compared many to their non-hybrid counterparts, but the cost to buy one is never offset by the fuel savings realized.
Of course, the reasons to purchase a hybrid extend beyond saving money at the gas pump, and that's why Toyota Prius owners are likely to be well-heeled early adopters more interested in the philosophical benefits of going green than the financial ones.
But Honda wants the 2010 Insight to be affordable enough for almost anyone. And it wants the Insight to be the kind of hybrid that provides measureable benefits without introducing day-to-day eccentricities. To these ends, Honda has not developed an all-new hybrid system with dual electric motors and a complex series-parallel arrangement, like a Prius.
Instead, Honda has stuck to an approach that has worked for its hybrid cars before: Integrated Motor Assist (IMA), a simple system consisting of an efficient gasoline engine, a conventional continuously variable transmission (CVT) and a thin, brushless electric motor sandwiched between the two. The battery pack is of the tried-and-true nickel-metal hydride (NiMH) variety.
Official pricing is not due until we get closer to the new Insight's release date of April 22, 2009 (yes, that's Earth Day). But the base LX model's price is expected to come in well under $18,000. We figure that this fully optioned 2010 Honda Insight EX-Navi (EX with navigation) should cost less than $22,500 — at least $5,000 below a comparable Prius.
Output Specifics
The engine in this case is a 1.3-liter inline-4 derived from the Honda Civic Hybrid. Changes for the Insight application include two spark plugs per cylinder and reduced internal friction.
The VTEC variable valve-timing system is also less elaborate. Instead of three VTEC modes, there are but two: a standard cam profile for everyday running and a zero-profile round cam that prevents any valves from opening and creating pumping losses when the Insight runs in full-electric mode.
By itself, this engine makes 88 horsepower and 88 pound-feet of torque. But it seldom runs alone. The IMA electric motor provides up to 13 hp and 58 lb-ft of torque. It's a smaller setup than the 20-hp electric motor found in the Civic Hybrid, because the Insight weighs some 150 pounds less than a Civic. Our test Insight registers 2,736 pounds on our scales.
All told, the combination is good for 98 hp at 5,800 rpm and 123 lb-ft of torque from 1,000-1,500 rpm. On our test track, this produces a run to 60 mph from a standstill in 10.9 seconds (10.5 with seconds with 1 foot of rollout like on a drag strip) and does the quarter-mile in 17.9 seconds at 77.9 mph. That's a dead heat with the 2009 Fit Sport we recently tested and a trouncing of the 2009 Civic Hybrid by 2 seconds.
That MPG Thing
Mileagewise, the 2010 Honda Insight is expected to be EPA rated at 40 mpg in the city and 43 mpg on the highway. By comparison, a Honda Fit Sport is rated at 27 mpg city and 33 mpg highway. The Civic Hybrid is rated at 40 mpg and 45 mpg, respectively.
Some might complain that the 1991 Honda CRX HF, a non-hybrid, was rated at 40 mpg city and 47 mpg highway (in 2008 terms). What have we gained? Well, how about safety, room for five and a host of power accessories, for starters? Lest you forget the 1991 CRX HF was a stripped two-seater that carried 800 fewer pounds.
We couldn't measure fuel economy on our customary test loops at home, but we devised a 197-mile substitute in Arizona. This suburban loop had more rural two-lanes in it than our usual Orange County course, but we're still impressed by the 51.5-mpg result our 2010 Honda Insight EX achieved.
Suspension Fitness
The 2010 Honda Insight borrows heavily from the strut-based Honda Fit, and in fact the entire chassis and suspension from the firewall forward is pure Fit. The spring and damper calibrations are specifically optimized for the Insight, of course, but the geometry and many of the hard parts are identical.
The rear suspension isn't a direct carryover, but the twist-beam rear axle is the same. The resulting gap between the rear wheels afforded by this layout is filled here with the Power Control Unit (PCU) and a 100.8-volt battery pack with a 5.75 amp-hour capacity. These components are slim enough that a temporary spare tire can perch atop them and still leave 15.9 cubic feet of space behind the seats — a bit more than a Prius.
Every Honda 2010 Insight rolls on 175/65R15 low-rolling-resistance tires. EX models like this one wear them on cast-aluminum wheels. The brakes are ventilated discs in front and drums in back, with additional drag coming from the IMA, which feeds electrons into the system backward to generate electricity when slowing.
On the road, the 2010 Honda Insight feels more nimble and put together than other hybrids. Some hybrid brake systems feel clumsy because of the regenerative system that's overlaid, but this is not the case here. The fuel-saving electric-assist power steering doesn't feel as precise as that of the Fit when you're going straight down the road, but it responds well and the effort is just right while cornering. In short, the Insight goes where it's pointed, feels secure and doesn't display the compromises we've noticed in previous hybrids.
At the track, our EX stops smartly from 60 mph in 125 feet. Its 0.79g performance on the skid pad is respectable for an economy car on skinny tires. But the slalom performance of 59.3 mph required our test-driver to conquer a bit of oversteer with the stability control turned off — something worth noting because the Insight LX does not have stability control.

Despite the weak economic situation and adverse conditions in our industry, I think you will be pleased to see ------ is still showing profits and remains as busy as ever. We seem to be holding our own but we do approach today's business with extreme caution and awareness this could reverse at any time.
As promised, I am writing you back with some information or advice based on your questions concerning the possibility to sell your stake in -----. Please note that what I am about to write is only based on a conversation with ---------- and is by no means an absolute.
Please realize that should you wish or decide to offer your 5% membership in ------, there is a process that must be followed. Here would be the steps in any offering:
1) ----- itself has the first option to purchase this stake in the company; should the ----- Board agree to purchase the 5% then the company itself would buy them and exhaust the 5% ownership and thus all the remaining Members' percentage of ownership would rise. Should the company decline to purchase your membership, then we would move to the second step
2) Secondly the membership would be offered to the remaining Members. If one, two, or more of the current Members would elect to purchase your stake in the company, then the percentage of ownership would be divided by the the current ownership percentages or an agreed upon percentage within the qualifying group.
3) Lastly, should the company and/or all the Members elect not to purchase your membership then you have the right to offer these shares to anyone outside the current Membership. Upon approval of the Board, these shares can be sold to anyone however the Board reserves the right to match any outsiders' offer. Should the Board refuse to match an outsider's qualitfying offer, you are then free to sell to whomever you choose.
I just thought I would give you the legal steps/rights you will need to follow should you elect to offer your membership.
Now, you asked the question as to how much your 5% membership would be worth. There are several ways to look at this and ways to try to determine the value, but please keep in mind that as a minority owner the membership will most likely be discounted because the "buyer" would not have controlling interests. Never the less, here are a couple ways to value your membership:
Please note that I am using the figures off the April 2008 financial statement.
1) Book Value : Total Shareholder Equity X 5%
As of April 30, 2008, the Total Shareholder Equity was $8,806,771.00
$8,806,771.00 x 0.05 = $440,338.55
Now, if you owned majority interest then you would sell for this amount or even a greater value. Given the fact your interest is only 5% our opinion is that you would have a difficult time finder a buyer for Book Value. Most likely a "fair" valuation may be half this amount or $220,170.00. Again, that is strictly our opinion.
2) Mulitple of Forward Earnings : Current monthly earnings annualized and then times an acceptable multiple; for a growing company the multiple could be 7+ times earnings; for a shrinking company the multilple could be less than earnings. A good multiple for ITV (steady, non growing business in a constricting industry) might be 3-6 times earnings
Current 2008 Earnings through Aprill : $617,281.00
Annualized : $1,851,843.00 (please note the first four or five months at ------ are stronger than the second half of the year because of shutdowns, summer and Christmas, reduced production schedule for the summer months, and the Thanksgiving holiday. Never the less, let's assume this figure is accurate.
Using a multiple of "3" : $1,851,843.00 x 0.4 (tax base) = $740,737.20
$740,737.20 x "3" = $2,222,211.60
$2,222,211.60 x 0.05 = $111,110.58
Using a multiple of "6" : $1,851,843.00 x 0.4 = $740,737.20
$740,737.20 x "6" = 44,444,423.20
$4,444,423.20 x 0.05 = $222,221.16
As I am sure you are aware, you have received all your initial investment plus another $50,000.00+ with last year's capital distribution. This has certainly been a very good investment for all parties but without a doubt an even better investment for those companies and/or individuals who actively produced their veneers at -------.
Honestly speaking, you are the only one that truly knows what this membership is worth to you and your family. These are just means in which US companies typically value themselves and try to determine the value of the company should one decide to sell. You have to have both a motivated seller and a motivated buyer. Personally, and off the record, we would think your membership would be valued in the $200,000 range. There are very strong financial figures to back selling these shares for more but any buyer would have to realize that the company is no longer growing and this means the buyers return on investment will have a much longer payback then the original Members. Here are few Pros/Cons to consider:
Pros :
*) well established, proftable company
*) relatively young company compared to industry standards
*) active Members in the business working to make the business viable
*) strong balance sheet
*) no debt
*) experience and reputation in industry is highly regarded
*) cash position is roughly equal to Total Liabilities
Cons :
*) veneer industry, especially in N. America and Europe, is on a decline
*) constriction of profits
*) no growth in company or profits
*) mill is ten plus years old and capital expenditures will be needed to maintain business; will impact potential for future distributions
*) aging workforce
*) minority interest
*) pricing discount restricts company's ability to maximize profits
*) capital distributions going forward will be much smaller or nonexistant
There has only been one Member who sold his membership, -------------. ------ was very fortunate that he was able to find a buyer that was also one of ------'s largest customers. This customer knew the company's production, depended on this production and was figuring to lock-in, knew the management and most owners, and knew that there existed pricing discounts based on volumes that would immediately benefit them. They were able to calculate their payback based on these variables and therefore -------- was extremely lucky to have found this new Member (------) and they were very motivated for the reasons described. Finding another ------- might prove very difficult especially at this point and time.
I have written this e-mail in order to provide you some ideas or figures to think about. I have not openly shared your desire to offer or sell your shares with anyone outside the ------- group -- actually I have not even informed everyone within that group. I apologize for this e-mail being so long but honestly wanted to provide you the best information and advice that I could given our history together and respect for one another. If there is anything you wish from us -- ------ and/or myself -- please do not hesitate to ask. SEPTIMA. Aumento en el Capital Social.
a) Todo aumento de la parte variable del capital social se efectuará por resolución de una Asamblea Ordinaria de Accionistas tomada mediante el voto favorable de la mayoría de las acciones suscritas y pagadas con derecho a voto representativas del capital social de la Sociedad, a menos de que se trate de incrementar el capital fijo sin derecho a retiro, en cuyo caso se requerirá una resolución de la Asamblea Extraordinaria. No se podrán autorizar aumentos sino hasta que las acciones precedentes hayan sido íntegramente suscritas y pagadas.
b) Todo aumento o disminución del capital social deberá inscribirse en el Libro de Registro de Variaciones de Capital, que para ese efecto llevará la Sociedad, según lo dispuesto por el artículo 219 de la Ley General de Sociedades Mercantiles.
c) Al tomar las correspondientes resoluciones de aumento de capital social, la Asamblea de Accionistas que autorice dicho aumento, determinará los términos y condiciones para llevarlos a cabo. Los accionistas tendrán un derecho preferente para suscribir los aumentos del capital social, en proporción al número de acciones de que cada uno sea propietario, en términos del artículo 132 de la Ley General de Sociedades Mercantiles.
OCTAVA. Reducción del Capital Social.
Las reducciones al capital social que afecten al capital mínimo fijo sin derecho a retiro deberán ser aprobadas por una Asamblea Extraordinaria. Las reducciones del capital social que solo afecten al capital variable requerirán sólo la aprobación de una Asamblea Ordinaria tomada mediante el voto favorable de la mayoría de las acciones representadas en dicha Asamblea. Para efectos de la reducción del capital se observarán las siguientes reglas:
a) Si la reducción afecta al capital sin derecho a retiro, la resolución deberá ser publicada en el periódico oficial de la entidad federativa en la que tenga su domicilio la Sociedad de acuerdo con lo establecido en el artículo Noveno de la Ley General de Sociedades Mercantiles para que dentro de los quince días hábiles siguientes al último aviso puedan notificar qué número de acciones desean amortizar.
b) Si la reducción no afecta al capital mínimo fijo sin derecho a retiro, sólo se hará una publicación, pero ésta no será necesaria si todos los accionistas están presentes o representados en la Asamblea respectiva.
c) Si dentro del plazo de quince días hábiles antes citados en el párrafo a) de esta Cláusula, se reciben solicitudes para la amortización de acciones que representen el equivalente de la cantidad de reducción autorizada, se hará el reembolso a los accionistas que lo hubieren solicitado.
d) Si dentro del plazo de quince días hábiles antes citados en el párrafo a) de esta Cláusula, se reciben solicitudes de reembolso que excedan de la cantidad autorizada de la reducción, el importe de la propia reducción se distribuirá entre los solicitantes, en proporción al número de acciones que cada uno hubiere ofrecido amortizar. Los reembolsos se harán en la fecha que hubiere fijado la Asamblea Ordinaria o Extraordinaria de Accionistas que haya aprobado dicha reducción.
e) Si una vez transcurridos los quince días hábiles antes citados en el párrafo a) de esta cláusula, se reciben solicitudes de los accionistas que sean menores a la reducción autorizada, se efectuará el reembolso solicitado por los accionistas y las acciones restantes que deban ser amortizadas para cubrir totalmente la reducción autorizada, serán amortizadas a todos los accionistas en proporción a su tenencia accionaria.
f) Las solicitudes de amortización deberán darse a conocer a la Sociedad en forma fehaciente.
g) En ningún caso podrá reducirse el capital a una cantidad inferior al mínimo legal.

The registered capital reductions that only affect the variable capital only require the approval of an Ordinary Meeting taken by means of a favourable vote of the majority of shareholders represented in the said Meeting. For the effects of capital reduction the following rules will be observed:
a) If the reduction affects the capital without right of retrieval, the resolution should be published in the official bulletin of the federative entity in which the Company has its address in accord with that established in the Ninth article of the General Law of Mercantile Companies so that within the following fifteen business days after the last announcement it can notify the amount of shares it wishes to amortize.
b) If the reduction does not affect the minimum fixed capital without right of retrieval, it only needs one publication, but this will not be necessary if all the shareholders were represented in the respective Meeting.
c) If within the period of fifteen business days cited above in paragraph a) of this Clause, requests for amortization are received for shares that represent the equivalent to the authorized reduction quantity, reimbursement to the requesting shareholders will be made.
d) If within the period of fifteen business days cited above in paragraph a) of this Clause, requests for reimbursement are received in excess of the authorized reduction quantity, the amount of the reduction will be distributed among the shareholders, in proportion to the number of shares that each one had offered to amortize. The reimbursements will be made on the date that the Shareholders Ordinary Meeting or Extraordinary Meeting had established in the approval at the said meeting.
e) If once having passed the fifteen business days previously cited in paragraph a) of this Clause, requests for amortization that are lower than the authorized reduction are received, the reimbursement requested by the shareholders and the remaining shares that should be amortized to totally cover the authorized reduction, will be amortized to all the shareholders in proportion to the shares held.
f) The requests of amortization should be given to the Company in an irrefutable manner.
g) Under no circumstance could the capital be reduced to a quantity below the legal minimum.

FIRST.- Mr. Antonio Gorozave, manifests being the proprietor of the land called Arroyo de Luis, with an extension of 200 hectares, which he acquired by transfer granted on the fourth day of December of one thousand nine hundred and thirty-nine from Mr. José Gorozave, as Executor heir of his father Vicente Gorozave.
SECOND.- Mr. Antonio Gorozave, finalizes, assigns and transfers the rights he has and could have on the above mentioned land, having adjacencies on three sides with national lands and on the other with the land of Agustín Gorozave, Mr. Isidro Lizardi with all the rights, uses, customs and easements, dispossessing himself of the dominion of the property and facilitating the buyer to uses and dispose of the property legally acquired, with just and legal deed as is the present that serves as the most efficient security and receipt handing over in this same act and in accord with the same sale that his bother Agustin Gorozave makes, the primordial deed and other documents that are referred herein.
THIRD.- The price agreed by both parties is the quantity of $150.00 one hundred and fifty pesos, that the seller receives from the buyer to his full satisfaction in legal currency and satisfied with the handing over and renouncing the provisions contained in article 1159. One thousand one hundred and fifty nine of the Civil Code.
FORTH.- Both contracting parties indicate in this act that there is not any restriction at all, but if at the later judgement of specialists there were another value it of course would be of mutual donation among the living to renounce the benefits of the restriction.
FIFTH.- The seller manifests in the afore mentioned property the contributions up to the third bimester of the current year, and that it is not subject to any alienation or mortgage so it is exempt of all taxes and responsibilities, being assent to eviction and sane mentor in accord to law.
SIXTH.- The seller manifests that at the end of the case mentioned before there is mention of giving the corresponding estate division of this sale.
Having it read to them the interested parties of legal force and value jointly signed with the witnesses Messr. Manuel Lena and Francisco Real, both of age with known address apt to testify this type of business, We attest.
