Please accept this correspondence as a Counter Proposal in response to your proposal submitted April 1, 2006 on behalf of our Client ABC, to lease space within the above-referenced business park. Currently, the Business Park is one of 3 potential location options for ABC. The following outlines some of the basic terms and conditions under which ABC is prepared to lease space at the above referenced facility.
MANAGEMENT FEE:
In addition to the net rents quoted above, ABC would be responsible for its share of management and operating expense costs for the project as of August 1st 2006. This Management fee is equal to ¥3.80 per square meter per month. ABC will not be liable for any additional building taxes or building insurance. ABC will also not take responsibility for any additional building systems or maintenance contracts such as an elevator and or roof maintenance contract.
FIRST RIGHT OF REFUSAL:
ABC shall have the right of first refusal on the remaining space adjacent to them in the building they choose to occupy. When DEF receives a Letter of Interest for the space they shall notify ABC in writing and ABC shall have one week to exercise the right to Lease the space at the same rate and terms under their existing lease.
PARKING:
ABC shall have the option to lease 4 underground parking spaces for ¥300 per month, 3 underground spaces shall be provided for free. ABC shall also have the right to at least 4 above ground spaces on a non-reserved basis at no charge.
BROKERAGE COMMISSION:
The Landlord shall recognize IJK as the Tenant’s broker. The expectation for a leasing commission is in the amount of 4% of the net lease amount for this lease and a lease on any subsequent expansion space, ABC is aware and in support of this amount being factored into the proposed financial terms. Please verify the brokerage fee as part of your proposal or as a side letter to your proposal with a company stamp.
This counter proposal shall not be binding upon the Tenant or Landlord until a mutually satisfactory Lease has been executed by both parties incorporating the above said terms and conditions. Final acceptance of this Counter Proposal by ABC will also be subject to review of the Management Agreement and the Park Rules and Regulations. Please confirm your acceptance of this counter proposal by executing below and returning a copy to our attention initially by fax as well as an original copy by courier. We will return a copy fully executed by ABC within 24 hours of receipt.
