Le sursis concordataire

Une demande de sursis concordataire. Que signifie ce jargon? C’est tout simplement l’ultime chance offerte à une entreprise avant la faillite. Et pour le créancier, c’est le début d’un parcours plutôt sinueux tracé par la Loi fédérale sur les poursuites pour dettes et faillites. Étape par étape du sursis concordataire :
Le dépôt. Les dirigeants de la société en difficulté sollicitent du juge d’un tribunal civil, l’octroi de ce sursis et joignent à leur requête motivée, un projet d’assainissement, un bilan détaillé, un compte d’exploitation, l’état de leur comptabilité.
Le juge ordonne immédiatement les mesures d’urgence que la situation réclame.

Sursis accepté ou refusé. Le juge convoque sans délai les dirigeants de la société en cause et ses créanciers. Il peut exiger l’apport de documents supplémentaires. Il doit alors décider rapidement s’il accorde ou non le sursis concordataire. S’il ne l’accorde pas, c’est la faillite.

Le sursis est accordé. Le juge nomme alors un ou plusieurs commissaires qui surveilleront l’activité de la société voire la dirigeront directement. Ils devront également dresser l’inventaire des biens de la société débitrice et les estimer. Autre tâche importante qui leur est dévolue: procéder à l’appel des créanciers afin que ceux-ci fassent état de leurs réclamations.
Le sursis durera de quatre à six mois. Il peut être prolongé de douze, voire de vingt-quatre mois au maximum. Pendant cette période, aucune poursuite ne peut être exercée contre la société en cause.


Le concordat. Les commissaires établissent un projet de concordat, c’est-à-dire une proposition d’accord acceptable par les créanciers pour que la société redémarre pleinement. Ce concordat doit comprendre: le mode de liquidation des biens et la renonciation des créanciers à la part de leur créance qui n’est pas couverte par le produit de cette liquidation, notamment.
Le concordat est accepté, s’il remplit l’une de ces deux conditions:

1) la majorité des créanciers représentant au moins les deux tiers des créances à recouvrer y ont adhéré;

2) le quart des créanciers représentant au moins les trois quarts des créances à recouvrer y ont adhéré.

On peut aussi procéder à un concordat par abandon d’actifs qui donne aux créanciers le droit de disposer des biens de la société en sursis.

Homologation ou refus. Le juge peut homologuer ce concordat. La société reprend alors son envol. Toutes les poursuites intentées contre elle avant le sursis sont éteintes.

Si le juge refuse le concordat, la faillite de l’entreprise est immédiatement prononcée.

disagree  eliyahug: "stay" means postponement, that is, it is "provisoire"-- I looked on the UK legislation site indicated & found "administration order" but without modifier "interim"--please explain

"sursis" is temporary by definition. Likewise, stay is temporary by definition. There is no "permanent stay" or "sursis permanent"-These are oxymorons. Hachette [Dictionnaire Pratique] has for sursis -"Delai pendant lequel l'execution d'une peine prononcee est suspendue"
The Concise Oxford has for "stay"-def. 3 "Postpone (judgement, decision)." -According to the Legal Explanations website, Stay = "n. A court-ordered short-term postponement in judicial proceedings..." -Ergo "sursis" = "stay" - In the context, the stay refers to bankruptcy which, in the Swiss case cited above, is being postponed for 2 months so 2 commissioners can investigate and draw up a report on the company's situation. QED

\"final stay\" is also an oxymoron according to the definiatins as above. The UK legislation site indicated above mentions, as I recall, an \"interim moratorium.\" Apparently there ain\'t no such animal as an \"interim administration order.\" At least according to the UK legislation site.

Did find several instances of \"final stay\" on Google connected with bankruptcy, but in these cases too the stay was temporary and the final stay was like a last chance to correct a situation. Quote below comes from http://www.ncfamilylaw.com/ATCH4.htm
When the final stay request was turned down, the court ruled that the service member had not made a reasonable effort to make himself available for trial. The court also ruled that the Act does not require indefinite continuances
