Die stille Gesellschaft ist eine Innengesellschaft, die als solche nicht nach außen auftritt. Vielmehr tritt allein der Inhaber des Handelsgewerbes im Rechtsverkehr und Rechtsstreit auf. Er allein wird aus Rechtsgeschäften berechtigt und verpflichtet (§ 230 Abs. 2 HGB). Daher bestehen für die stille Gesellschaft auch keine Regelungen über die Vertretung und über den Erwerb des Gesellschaftsvermögens. Allein der Geschäftsinhaber ist hinsichtlich der Gegenstände des Gesellschaftsvermögens dinglich berechtigt. Ebenso haftet nur er den Gläubigern für die Verbindlichkeiten. Eine Haftung des stillen Gesellschafters ist ausgeschlossen.

agree  Derek Gill Franßen: Yes, I was thinking of the "Innengesellschaft, die keine Rechtswirjung nach außen entfaltet, sondern Rechten und Pflichten lediglich zwischen den Parteien begründet" - my added suggestion brings this out makes this clear without calling it a "silent...".
