English term or phrase: in office
Q1. In the sample paragraph below, does the phrase "in office" modify only "the members of the Board of Directors"? Or does it modify "the Chairman of the Board" and "the President" as well?

Q2. In case "in office" modifies only "the members of the Board of Directors", does the phrase mean something like "that are acting as officers"?

Q3. If "in office" does not mean something like "that are acting as officers", why is "in office" need to be inserted here? Directors (or the President or the Chairman) that are not in office are not directors (or the President or the Chairman) any more, right?

Sample Paragraph
"Special meetings of the Board of Directors may be called by the Chairman of the Board, the President or a majority of the members of the Board of Directors then in office and may be held at any time, date or place, within or without the State of Delaware, as the person or persons calling the meeting shall fix."

English translation:in office (answers to questions below)
Explanation:
Q1 yes it modifies just the members of the Board of Directors

Q2 it means those that are members of the Board at the time that the meeting is called - those who are acting as members of the Board

Q3 I believe the use of "in office" is meant to underline that it's the members of the board who are active members at the time the meeting is called who must attend. If someone is elected after the meeting was called or are suspended for some reason or on a leave of absence, they are not included
