我的理解是，利用（将原来信用证）改成延期付款信用证的机会，可以增加一些软条款。
延期付款信用证是指：开证行指定一家银行在受益人提交与信用证条款相符的单据（不含汇票）时，于将来某日付款的信用证。
信用证中的软条款(Soft Clause)，在我国有时也称为“陷阱条款”（Pitfall Clause），是指在不可撤消的信用证加列一种条款，使出口商不能如期发货，据此条款开证申请人（买方）或开证行具有单方面随时解除付款责任的主动权，即买方完全控制整笔交易，受益人处于受制人的地位，是否付款完全取决于买方的意愿。 或者 软条款就是指开证申请人（进口商）在申请开立信用证时，故意设置若干隐蔽性的“陷阱”条款，以便在信用证运作中置受益人（出口商）于完全被动的境地，而开证申请人或开证行则可以随时将受益人至于陷阱而以单据不符为由，解除信用证项下的付款责任。 |
