Danish to English translations [PRO]
Bus/Financial - Business/Commerce (general)
Danish term or phrase: fuldmagtsregler
A company's corporate compliance programme has seven elements: antikorruption, informationssikkerhed, konkurrenceret, Contractual Risk Management, immaterielle rettigheder, fuldmagtsregler samt dokumentstyring og -opbevaring

Can't think of a neat way of expressing fuldmagtsregler - any bright ideas?

English translation:regulations concerning authority
Explanation:
As one who once held delegated authority to bind my employer for substantial sums, I am quite familiar with this subject. See the first link for a statement in Danish from a corporate code of conduct, from a large Nordic telecom that will go nameless here. Second link is the English version of the same. There isn't a handier English term for this, IMO.

"Fuldmagt" has a variety of possible translations. However, "proxy rules" would be a subject for articles of association, not an internal compliance policy. A "power of attorney" is a very formal grant of authority with specific legal requirements to be valid. It would likewise not usually be a subject in a compliance policy.

Oops, I omitted this critical reference in the cited Danish version:
"Alle beslutninger skal træffes på det rette niveau i henhold til de gældende fuldmagtsregler. Du kan kun forpligte ...."

Thanks everyone. I feel proxy and power of attorney are misleading in the context. I suppose ultimately the answer to my question was no :-)

Response to the Asker's remark:
"The Corporate Compliance Officer shall provide, or arrange to have provided, regular training on the Code of Ethical Conduct and Corporate Compliance Program. Such training must be provided to all employees, including the President and the Board of Directors. "
http://www.fhwa.dot.gov/construction/cqit/compmodl.cfm
For the President and the Board of Directors it is important to be aware of the rules regarding proxy so that they will act within the authorised limits.

Notes to answerer
Asker: Aren't proxies all about voting on behalf of other people, whereas my context seems to about not overstepping the bounds of your authority?

Asker: Sorry, can't see anything about proxies in your link!

disagree  Charlesp: as a literal dictionary translation, perhaps -- but not in this context.

power of attorney procedures

Explanation:
I have reflected on the answer a while and I think that, in this instance, the context in which the term is used suggests that it deals with how the corporation controls the powers given to employees to act on behalf of the corporation. In most other instances, "proxy [access] rules" or my deleted answer of "proxy [access] policy" will be the correct way to translate "fuldmagtsregler" or "fullmaktsregler" as it appears in Swedish and Norwegian.

agree  Michael J.H. Davies: Yes, in my experience, power of attorney would be the correct translation of 'fuldmagt' in this case. 'Regler', of course, are the rules applying to use of a 'fuldmagt'.

  • Du kan kun forpligte et selskab over for andre, hvis du har fuldmagt hertil, og du skal til enhver tid holde dig inden for rammerne af din fuldmagt.
  • All decisions shall be made at the appropriate level in accordance with the applicable regulations concerning authority. You may only obligate a company vis-à-vis others if you hold such special authority[.]
