De casus is als volgt: twee NV's richten samen een nieuwe NV op (X). Het doel van X is een luxecondominiumproject op te starten en de condominiums te verkopen en op te leveren. De bedoeling is, volgens de pleitnota, dat "na de oplevering van het project een **kasgeld-NV**zou achterblijven". Wat wordt bedoeld is kennelijk dat de NV na de oplevering van het project enkel nog geld (nl. de opbrengst van het project) onder zich heeft en geen ander doel meer dient.
