Section 86a of the Dutch civil code has the following wording, which sometimes appears in articles of association:
"De levering van een aandeel ... werkt mede van rechtswege tegenover de vennootschap."
Does anyone know what this means?

I believe Cox, Simons and Van den End are right. It is the wording I had tentatively decided on, but was guessing. Will have to look for the lexicon in question. Many thanks.
