Dutch term or phrase: statutaire beheerder

This is in a rent contract now, but I have come across the term before in other law contexts. In Dutch one refers to the Articles of Association as "Statuten" and I think that what they actually mean here is a manager as specified in the Articles of Association. The "statutaire beheerder" is a company, which is then represented by a director of the company. The translation that I am considering is "Manager in terms of the Articles of Association". Any ideas? Thanks, it would be a great help.
