Explanation:
The term "independent contractor" is a legal term widely used in commercial contracts to define the relation between the parties. It has a broader meaning and application than ┯ (cheng bao ren), which means strictly a person undertakes to do a specific construction work for another, as it is so defined by Article 269 of the Chinese Contract Law of 1999. An independent contractor, in contrast, is a person who contracts to perform a piece of work or to render specific services and who controls and has the responsibility for the means to that end, e.g. a lawyer, consultant, designer, architect, builder. He is not an employee in the legal sense. (Ref. Mellinkoff's Dictionary of American legal Usage, 1992 West Publishsing) For example, an investment advisory agreement drafted by an international bank stipulates: "For all purposes of this Agreement, the Investment Adviser shall be an independent contractor and not an employee or agent of the Customer...." Certainly no experienced and responsible translator would translate the term "independent contractor" into cheng bao ren or cheng bao shang, the latter being a commercial term. In law, the word person () includes natural and legal persons.

Strictly speaking, like many English legal terms, there is no exactly equivalent legal term in Chinese law for "independent contractor", which is a generic term with rather broad meaning and application. The best a translator can do and should do is to translate it into a neutral term (to avoice possible confusions) with near equivalence in meaning, applicability and legal effects. The first Chinese translation suggested above, i.e. du li ding yue ren, is more appropriate for Taiwan, and the second one may be better for China, as the Chinese term for "contract" is  (he tong), whereas the term used in Taiwan is  (chi yue). Both have more or less the same meaning of "a person who signs the contract as an independent party or who is an independent party to a contract."
