（股份有限）公司成立时，有关股份发行会签署一份股份认购协议(Subscription Agreement)，说明subscriber（认购人，也就是公司的初始股东）认购股份的相关条款。

Explanation:
这个译法是我自己的发明，因为似乎没有现成的译法，所以不保证专业。

一般在成立金融基金时必须设定集资最低目标，那个目标会分成定量定额的股份让订户认购，订户认购那些股份完成后，该基金才会正式成立，而认购的订户就是基金成立会员，也就是基金的股东。
