As shown in the Order on institution of these criminal proceedings that is dated 28 March 2011 (see Exhibit [7]), the Investigative Department of the Central Administrative District of XXX decided that:
AAA, who had been aware of the fact that the actual price of assets to be sold is considerably lower than the amount of the advance payment and knowingly intended to deceive BBB about the subject of the bargain, N.V. AAA, after deceiving the management of BBB, in order to illegally receive funds, withheld and intentionally distorted a number of substantial and economically significant facts related to the business activity of the Group's Companies of CCC. So N.V. AAA, who at the moment of the signature of the Agreement had been an only shareholder, a member of the board of directors and chairman of CCC intentionally camouflaged the evidences
