If Supplier ships outside the confirmed shipping window without XXX's prior approval, then XXX has the right to (1) terminate the Purchase Order immediately, (2) refuse the shipment if it is made outside the specified shipping window, or (3) off set as a penalty against Supplier’s invoice or other sums due Supplier, all additional transportation costs or other expenses incurred by XXX arising from Supplier’s non-compliance with the ship window.
