Extrait d'une convention de double diplôme décerné par deux écoles de commerce partenaires :

While it is desirable to balance the total number of students exchanged on a year to year basis, there shall be in the subsequent years a *clearing period* during which a surplus or deficit in the exchange shall be carried forward. The total number of exchange students shall be determined by both institutions on a yearly basis.

Explanation:
Ce que je crois comprendre, c'est que les étudiants qui n'ont pas été acceptés une année faute de place, devraient être acceptés l'année suivante. Et si une année, une des deux univ. a accueilli moins d'étudiants que prévu, elle s'engage à en accueillir davantage (que le quota fixé) l'année suivante.

Donc le "surplus or deficit" sera reporté ("carried forward") à cette "clearing period".

Ce qui est moins clair à mes yeux, c'est si "balance the total number of students exchanged on a year to year basis" signifie "équilibrer le nombre d'étudiants échangés entre les deux universités" ou "maintenir le même nombre d'étudiants d'échange d'une année à l'autre".
