The First Party shall render to the Second Party all reasonable assistance to enable the Second Party to obtain registration on the Territory of any of the Proprietary marks. In no circumstances will the First Party apply for registration as proprietor of any of the Proprietary marks in any of the world but if at the time the Second Party desires to apply for registration and has to apply, the First Party is deemed in law also to be the Proprietor of any Trade Mark or if for any other reason the Second Party shall so request, the Fisrt Party shall at the Second Party's expense make in its own name or jointly with the Second Party and proceed with such application as the Second Party may direct and do all such acts and things and execute all such documents necessary for obtaining such registration and there upon the First Party shall assign such registration and all other rights in such Trade Mark to the Second Party.
