"The XX agrees to accept such risks, which may include, but are not limited to, failure of hardware, software or communication lines or systems and agrees to indemnify and hold XX, its shareholders, officers, employees and agents harmless from and against any and all losses, claims, damages or liabilities (including reasonable legal fees and expenses) to which any of them may become subject and which are in any way related to or which have arisen under or in connection with the following, in each case whether arising under any statute, at common law or otherwise, and to reimburse them for all legal or other out-of-pocket expenses (including the reasonable costs of investigation and preparation) incurred in connection with any use by the WLP of the WL or any other XX information, materials or technology provided by XX , which is not specifically permitted by or granted to the XX hereunder or any other non-compliance by the WLP with the terms and conditions of this Agreement".
