The First Party shall place upon all letter headings, bills, invoices and all other documents and litterature used in connection with the Business in such manner and place as the Second Party may direct the following words (or such other words to similar effects as may from time to time be specified by the Franchisor) : 'a XXX Franchisor owned and operated under License by the [Second Party]' followed by the name of the First Party.

j'ai un gros pb ici. En effet, dans ce contrat :
The First Party = the franchisee
The Second Party = the franchisor (XXX)

la mention devrait donc être :
Franchise XXX (nom de la Deuxième partie) détenue et exploitée sous licence par (nom de la Première partie)

Or ce n'est pas du tout ce qui est écrit en anglais
Pensez-vous qu'il y a une erreur ou bien c'est moi qui ne comprends rien ??? merci d'avance pour vos explications !

Dans le domaine du franchisage, il existe au moins 2 structures: Franchiseur Franchisé ou Franchiseur - Maître-Franchisé - Franchisé.

Le Maître Franchisé agit un peu comme le "Franchiseur" pour un territoire donné: il est le représentant du Franchiseur face aux franchisés.

Ainsi, ta phrase pourrait avoir du sens en rajoutant une partie, à savoir qu'il s'agit d'une licence consentie au Franchisé par le Maître Franchisé en vertu d'une Licence qu'il détient du Franchiseur... ou quelque chose comme ça....
Mais franchement, pas évident...
