Upon the Effective date, the First party agrees to be responsible for the following :

-not to sell, mortgage, charge or otherwise dispose of or encumber its interest in the Model Franchise Unit or in the Business without first procuring that the person acquiring such interest shall enter a deed of adherence whereby it is bound to meet the obligations of the First Party contained in this Agreement.
