| English term or phrase: DISPOSAL ITEM | Upon the earlier of termination or expiration of this AGREEMENT, (i) BUYER is entitled to purchase (a) any portion of unshipped GOODS and/or (b) any portion of materials used in the manufacturing of the GOODS at the lower of market value or SELLER’s book value as of the date of termination or expiration of this AGREEMENT; and (ii) SELLER, at SELLER’s expense, will deplete any excess portion of materials used in the manufacturing of the GOODS and any unshipped GOODS in accordance with Section 5.5
5.5 MATERIAL, PRODUCT OR EQUIPMENT DISPOSAL
If SELLER disposes any item, that is associated with BUYER’s products or that incorporates BUYER’s IP RIGHTS (“DISPOSAL ITEM”), then SELLER will ensure the DISPOSAL ITEM is made unsalvageable and will not subcontract the disposal without prior written consent of BUYER. SELLER is responsible for taking all reasonable steps to prevent the counterfeiting of BUYER’s products or the infringement of BUYER’s IP RIGHTS relating to SELLER’s performance under this AGREEMENT. |
