Law/Patents - Law: Contract(s) | | English term or phrase: positive release program | | SELLER will comply with BUYER’s Quality Assurance Key Elements (“QAKE”) system incorporated herein by reference and all future revisions thereto. BUYER is entitled to periodically audit SELLER's manufacturing facility’s compliance with QAKE in a manner not to unreasonably interfere with SELLER’s operation. If such audit results in a score less than 85, SELLER will develop a detailed plan and upon BUYER’s written approval will implement such plan to improve SELLER's quality standards. If SELLER fails to implement such plan or the subsequent audit results in a score less than 85, then BUYER is entitled to (i) terminate this AGREEMENT at any reasonable time thereafter with immediate effect and without any penalty, liability or further obligation; (ii) purchase the GOODS from other suppliers in which case the obligations of BUYER and SELLER under this AGREEMENT, if any will be reduced accordingly; or (iii) require SELLER to implement, at SELLER’s expense, a positive release program in accordance with QAKE |
