Zum Zeitpunkt des Inkrafttretens muss jedes nicht ausgeübtes Bezugsrecht des Unternehmens (entweder unverfallbare oder verfallbare) ungültig gemacht werden, wobei der Inhaber dieses Bezugsrechts einen Anspruch hat auf einen gegebenenfalls höheren Barbetrag als (i) die in der im Rahmen des Unternehmenszusammenschlusses erbrachten Gegenleistung, der über (ii) dem Ausübungspreis pro Aktie solch eines Bezugsrechts des Unternehmens liegt, multipliziert mit der Anzahl der Aktien des Unternehmens, die zu solchen ungültig gemachten Bezugsrechte des Unternehmens zählen, da solch ein Betrag um die anfallenden Quellsteuern gekürzt werden kann.
