Representations and Acknowledgments of Executive

(a) Executive hereby represents and warrants to the Company as follows:

(i) Executive will acquire the Shares and the ***Shareholder Loan Participation*** solely for investment for his or her own account and without a view to further distribution of the Shares.

(ii) Executive is an executive of an Affiliate of the Company and has been given access to all information that Executive considers necessary to make an investment decision as to the Shares.

(iii) Executive has full power and authority to enter into this Agreement and to perform his or her obligations hereunder and to complete the transactions contemplated herein. This Agreement is a valid and binding agreement of Executive, enforceable against him or her in accordance with its terms except (A) as the same may be limited by applicable bankruptcy, insolvency, reorganisation, moratorium or similar laws of general application relating to or affecting creditor's rights, and (B) for the limitations imposed by general principles of equity.

(b) Executive hereby acknowledges that the Shares are being issued or transferred respectively to Executive without registration or other qualification under any applicable securities law, and that Executive cannot Transfer any Shares except in full compliance with all applicable laws, including securities laws.
