(iii) Executive shall have the right to participate in such capital increase and to purchase Executive’s Proportionate Number of Shares (as hereinafter defined) in such capital increase for the subscription price as set forth in the capital increase notice (being the price paid by other investors in the capital increase), which right shall be exercisable by sending a written subscription notice, together with the subscription price, to the Company within 15 days after the giving of the capital increase notice. As used herein, Executive's "Proportionate Number of Shares" means such number of shares as will result, when added to the Shares and/or other shares then owned by the Executive, in Executive’s **Co-Investment Unit** representing same percentage of the total ownership interest in the Company as Executive would have owned had such capital increase not been completed.
