A Director may take part in any resolution of the Board in which he has an interest that is conflicting with that of the Company only if that decision is related to ***purely current operations entered into under normal conditions***. In all other cases he may not take part in those deliberations and he must advise the nature and extent of any conflicting interest in any transaction submitted for approval to the Board and cause his statement to be included in the minutes of the meeting.

Bin mir nicht ganz sicher, wie das zu verstehen ist. Im Prinzip geht es mir darum, ob sich "entered into under normal conditions" auf die Beschlüsse oder auf den normalen Geschäftsbetrieb bezieht. Hier zwei Varianten:

a) Ein Direktor darf an Verwaltungsratsbeschlüssen, bei denen seine Interessen jenen der Gesellschaft entgegengesetzt sind, lediglich dann mitwirken, wenn diese Beschlüsse - unter normalen Bedingungen - nur das laufende Geschäft betreffen.

b) Ein Direktor darf an Verwaltungsratsbeschlüssen, bei denen seine Interessen jenen der Gesellschaft entgegengesetzt sind, nur dann mitwirken, wenn diese Beschlüsse das laufende Geschäft betreffen.
