Ich hatte schon erfreulich lange nichts mehr aus meinem "Lieblingsbereich" Finanzen, aber es hat mich wieder ereilt. Beteiligt an diesem Zessionsvertrag, dessen Englisch nicht unbedingt über jeden Zweifel erhaben ist, sind deutsche, italienische und französische Partner, deshalb verzweifle ich gelegentlich an dem einen oder anderen Begriff, z.B. hier:

"By an Amending and Restating Agreement (the Amending and Restating Agreement) made on 13 January 2005 between, inter alios, the Obligors, the Facility Agent, the Security Agent, the Issuing Banks, the Existing Issuing Bank and the Original Lenders , the parties thereto agreed to amend and restated the Existing Facilities Agreements (as defined therein) **on and subject to** the terms and conditions of the Amending and Restating Agreement."

Der Rest ist klar, aber mit "on and subject to" kann ich hier überhaupt nichts anfangen - ihr?
