As soon as practicable after the close of each fiscal quarter, but not later than sixty (60) days after the end of such quarter, the Net Cash Flow for such quarter shall be distributed in the following order of priority:
First, to the payment of interest accrued on Proportionate Loans in proportion to the aggregate unpaid amounts of such Proportionate Loans owed to the respective Partners;
Second, to the Partners in proportion to their Partnership Interests, but capped at an eight and one-half percent (8.5%) per annum return on their invested capital; SAVE AND EXCEPT, however, that the amount otherwise allocated for distribution to any Non-Curing Partner shall be reduced by the interest accrued on outstanding Curing Loans in proportion to such Non-Curing Partner’s Curing Loan indebtedness, and the aggregate of such reduced amounts otherwise payable to Non-Curing Partners shall be distributed to the Curing Partners in proportion to the Curing Loan indebtedness owed to such Curing Partners, along with amounts that would otherwise be distributed to such Curing Partners hereunder
