1. NO DISCRETIONARY AUTHORITY
1.1 The Property Manager shall have no discretionary authority and shall not be required to manage and control the affairs of the Company or otherwise manage or operate the Company. In particular, the Property Manager shall not enter into material negotiations relating to, or conclude on behalf, or for the account of, the Company:
1.1.1 investment Contracts and divestments Contracts;
1.1.2 leasing Contracts (including modifications, renewals and extensions of leases);
