"If a third party offers to purchase shares in the company, constituting at least 51% of the entire issued share capital, then notwithstanding that the shareholders to whom such offer has been made have complied with the provisions of clause X, such shareholders shall not be entitled to sell their shares to such third party, if any of the remaining shareholders to whom the offer has not been made by the third party, indicates in writing in response to the offer in terms of clause X that he wishes to dispose of his shares in the company ...."
