Law/Patents - Law: Contract(s) / Rechte geistigen Eigentums | | English term or phrase: held to the order of | Hier geht es um die Abtretung geistiger Eigentumsrechte bzw. um die Eintragung neuen geistigen Eigentums. Was bedeutet "held to the order of"? Kannte diese Wendung bisher nur aus dem Finanzbereich, das hilft mir hier aber nicht viel weiter :-)...
Heißt es vielleicht einfach nur "steht zur Verfügung"?
Without prejudice to the provisions of Clause X and for the avoidance of doubt, in the event the Parties agree at any time during the term of this Agreement that the Licensor will assign to the Licensee its interest in some or all of the intellectual property right on terms which require the same to be ***held to the order of ***the Licensor as beneficial owner, such assignment shall not affect the obligation of the Licensee to pay the Royalty, nor shall any such assignment affect the rights of the Parties upon termination or expiry of this Agreement as set out in Clause X.
To the extent that the Licensor owns any registrations, it hereby agrees that the registrations shall, so far as is possible without jeopardising the subsistence, enforceability or validity of the same, be ***held to the order of*** the Licensee and that, save for this Clause, the registrations are not subject to the terms of this Agreement. |
