Es geht um den Gesellschaftsvertrag einer Private limited company nach indischem Recht.

Eine Regelung lautet wie folgt: "Subject to the rules and restrictions in the Companies Act 1956, the Company shall have power to increase or reduce the capital and to issue preference shares ***carrying right to redemption out of profits or out of proceeds of a fresh issue, or liable to be so redeemed***in such a manner as the Board, before the issue of such shares, may determine.

Ich habe nun Schwierigkeiten mit dem eingesternten Teil.

Ist damit sinngemäß gemeint, dass Vorzugsanteile ausgegeben werden können, die mit einem Recht auf Rückkauf aus den Gewinnen und Erlösen aus Neuausgaben versehen sind? Ich muss zugeben, dass mir das Konstrukt der Vorzugsanteile in diesem Zusammenhang nicht ganz klar ist.

Redeemable preferred equity
Preference shares or units can be made redeemable (but redemption of preference shares may only occur out of profits or out of the proceeds of a fresh issue of shares for the purpose of funding redemption). A redemption right makes this type of security more like a loan. Redeemable preference shares used to be a very popular financing technique.

Vielleicht: Vorzugsanteile mit Rückgaberecht, wobei der Rückgabepreis nur aus erzielten Erträgen oder Erlösen aus Neuemissionen gezahlt darf
