Law/Patents - Law: Contract(s) / Licensed Purchaser Agreement
English term or phrase: actually or constructively
Grantbacks. Licensed Purchaser grants to XYZ a nonexclusive, paid-up, royalty-free license, with the right to sublicense, to any Improvement made by Licensed Purchaser to the Licensed Technology that is first conceived and actually or constructively reduced to practice during the term of this Agreement and as to which Licensed Purchaser has or shall have the right to grant licenses without payment to others who are neither employees nor former employees of Licensed Purchaser. Licensed Purchaser shall be the sole and exclusive owner of any Improvements.
