Würde ich folgendermaßen formulieren: "Falls eine Entschließung über die Einleitung einer "Action" (was auch immer die Übersetzung ist) nicht durch Abstimmung in einer Versammlung, sondern durch nichtmehrheitliche Entschließung über schriftliche Einverständniserklärung der Aktionäre ergeht, werden die Aktionäre, die keine schriftliche Einverständniserklärung abgegeben haben, hiervon (von der Einleitung der A.) unverzüglich benachrichtigt.
