After the novation of external debt and the other restructuring steps, the shares of MMM and subsidiaries, DDD and KKK were transferred to the buyer free of any external debt on 12 April 2011.
The proceeds from the sales were used to partially repay the loans and accumulated interests from the Syndicate, after retention of certain reserves. These reserves include funds to ensure a solvent continuation of the group companies not being part of the sale transaction (the “Retention Group”), including the Company, until solvent liquidation. The remaining debt will be dealt with as agreed in the so called ***Run-Off Deed*** between the Syndicate and the Retention Group.
