Funding Indemnity
The company, and by executing this Restructuring Agreement each Relevant Obligor, unconditionally and irrevocably agrees to indemnify each New Money Lender on demand by that New Money Lender against any loss or liability which that New Money Lender may suffer or sustain or incur as a result of any Proposed Super Super Senior Revolving Facility Loan not being advanced on the Implementation Date (including, without limitation, all or any losses or liabilities in respect of funds borrowed or mobilised by the New Money Lenders in connection therewith, the liquidation of any deposits taken or made by the New Money Lenders, the substitute investment of such funds with a return lower than the cost of such funds, and the prepayment by a New Money Lender of such funds to the source from which they were borrowed or mobilised). Such indemnification is to be made on the New Money Lenders' first demand which shall include reasonable details of the amount claimed thereof.
