Liefervertrag - AAA betreibt eine Papierfabrik und MMM liefert ihm Maschinen und Maschinenteile.

In the event of termination of the Agreement or any part thereof on grounds attributable to MMM the **free and clear title** to the Goods or any respective part thereof shall be released and transferred to MMM and the Total Price or any part thereof paid by AAA shall be released by METSO to AAA with interest at the rate of 7 % per annum from the date of receipt of payment to the date of restitution.


Nach Dietl/Lorenz: clear title = unbestrittenes Recht

Passt das hier? Was genau ist hier gemeint? Und was mache ich mit dem "free" davor?

Im Internet habe ich übrigens noch folgende Definition von "clear title" gefunden:

"A title that is free from any restriction or legal or monetary obligation, which would prevent its sale."

Und in einer anderen Quelle heißt es:

"We do guarantee free and clear title with no liens
or encumbrances to every property that we sell."

Aber passt das zu meinem Text?

In Zusammenhang mit Sachen, hier: Waren, würde ich "title" im Sinne von "legal ownership" verstehen und mit "Eigentum" übersetzen.

Black's Law Dictionary definiert title as "the union of all elements (as ownership, possession, and custody) constituting the legal right to control and dispose of property."

Dem entspricht die Definition von "Eigentum" im deutschen Recht.
Nach Creifelds ist Eigentum das grundsätzlich unbeschränkte Herrschaftsrecht über eine Sache, mit der der Eigentümer nach Belieben verfahren kann.

Ein "clear title" ist laut Black's Law Dictionary "a title free from any encumbrances, burdens, or other limitiations."

Also im deutschen Rechtskreis ein Eigentumsrecht, das nicht durch dinglichen Rechte, die das Eigentum belasten und seinen Inhalt einschränken (z.B. Dienstbarkeit, Hypothek, Pfandrecht u.a.), beschränkt wird.
