Each of the Founders shall, for so long as that Founder holds any Share or Shares in the Company, be entitled by notice in writing to the Company to be appointed as a Director save that this right shall be suspended during the active period of any Deemed Transfer Notice (as defined in the Articles).

Explanation:
I don't think I need the definition after all - I found this, which seems to be talking about the same thing:

"Whenever any person becomes a Leaver, the provisions of this Article 13 shall apply notwithstanding the other provisions of these Articles …. If this Article applies, the Leaver will be deemed to have given a Transfer Notice to the Company indicating that he wishes to transfer such number of Leaver’s Shares as shall be determined …. pursuant to Article 13.3." ...hence my suggestion: "(ein meist vom Aufsichtsrat) genehmigtes Gesuch um Aktienübertragung (beim Ausscheiden eines Gesellschafters)".

I find it difficult to get \"deemed\" in there... it is the Shareholders\' Agreement which deems that the notice has been given. Perhaps you should leave off \"genehmigtes\" and replace it with \"gesellschaftsvertragliches\", so:

\"gesellschaftsvertragliches Gesuch um Aktienübertragung\".

Sorry, I was getting ahead of myself with \"genehmigtes\" - that is probably the next step. ;-)
