Es handelt sich um den Vertrag eines Personalvermittlers. Mir ist nicht genau klar, was in dem erwähnten Formular zugesichert/gewährleistet wird. Überträgt der Consultant seine geistigen Eigentumsrechte an das Unternehmen oder sichert er nur zu, das geistige Eigentum des Unternehmens zu wahren?
Zum Kontext:
7.4 xxx will indemnify the Client against any liability which arises as a result of any infringement of any third party’s intellectual property rights caused by the Consultant in the course of the Services, except where such infringement results from any instructions or Specifications issued by the Client, its employees or End-Client.
7.5 xxx will procure that the Consultant will sign any reasonable *form of assurance of Intellectual Property Rights* that may be required by the Client.
Explanation: Der Consultant soll zusichern, dass er die Schutzrechte Dritter nicht verletzt. Ich glaube nicht unbedingt, dass es sich bei 'form' um ein Formular handelt, sonder es geht m.E. um die Formulierung.

Katja, ich sehe das so: xxx will sich gegenüber dem Client absichern, indem xxx vom Consultant verlangt, diese Schutzrechtssicherung, die die Rechte Dritter gewährt, zu unterschreiben. Einverstanden?
M.E. geht es lediglich um die Wahrung der geistigen Eigentumsrechte des Unternehmens, denn würden die Eigentumsrechte an den Consultant übertragen hätte das U. kein Recht mehr irgendwelche "..instructions or specifications..." bzgl. dieser Rechte zu geben
