English term or phrase: non oral modification clause

Hallo veehrte Kollegen,

ich sitze über einem Internationalen Kaufvertrag und komme mit dieser Klausel nicht zurecht:

"No addition or modification to this contract shall be valid unless made in writing. However a party may be precluded by its conduct from asserting the invalidity of additions or modifications not made in writing to the extent that the other party has relied on such conduct"

Nach Recherche scheint es eine normale NOM-Klausel zu sein. Im Deutschen fällt mir jedoch die Übs des "Conduct" Begriffes schwer.
