What is the difference between a working interest and a carried interest?
In general, when an exploration and development (“E&P”) company is in a “carried interest” position with other “working interest” E&P’s in a particular gas field (as was Canada Southern’s situation at Kotaneelee), the working interest E&P’s can and do make investment and operating decisions without consulting the carried interest company. Capital investments in seismic, drilling and field facilities that are made by the working interest companies are usually (but not always) shared pro rata among all the partners in the field: working interests and carried interests.
The carried interest partner does not make capital investments in cash at the same time as the working interest partners. Instead, the working interest partners make the entire capital investment themselves, thus “carrying” the carried interest partner. The working interest partners then subsequently recover the carried interest partner’s share of capital investment by withholding the carried interest’s share of field revenues until they have recovered the carried interest’s pro rata share of the capital investment. The carried interest does not receive cash flow from the field until its pro rata share of the capital investment has been recovered by the working interest partners.
