Judit által megfelelő fordításnak vélt "előszerződés" szerintem két okból nem fedi a "head of terms" fogalmát. Egyrészt a polgári jog szerint az előszerződés alapján a felek kötelesek a szerződést megkötni, a "head of terms" viszont erre nem kötelez. Másrészt létezik olyan előszerződés, amelyben a felek nem állapodnak meg a szerződés lényeges kérdéseiben (például adás-vételi előszerződés esetén a vételár nagysága), a "head of terms"-nek viszont pontosan ez a rendeltetése és lényege.

Ahogy Katalinnak írtam, németből nem fordítok, így a szövegkörnyezet teljes hiánya miatt elképzelhető, hogy a kérdéses dokumentum nem "szándéknyilatkozat". Én csak az angol "Head of Terms" magyar fordításában próbáltam segítséget nyújtani. Ehhez tenném hozzá az angol definíció alatt megadott további gyakori megnevezéseket és azok magyar megfelelőit, hátha segít. Van tehát "head of terms" - also known as
- "letter of intent": ez magyarul "szándéknyilatkozat",
- "memorandum of understanding": ez magyarul "egyetértési megállapodás".
Memorandum of understanding: "A memorandum of understanding (MOU or MoU) is a document describing a bilateral or multilateral agreement between parties. It expresses a convergence of will between the parties, indicating an intended common line of action.
