Please accept this letter as a Letter of Agreement between XXX Ltd. (the “Manager”) and ___________ (“Agent”) in connection with the marketing and distribution services of Agent for the Manager. Agent shall act as a non-exclusive marketing agent for the Manager, subject to the provisions of this Agreement, with respect to all services provided by the Manager, including but not limited to managed accounts, investment pools, principal guarantees and brokerage services.
